Location and Inspection. Proper and complete books of account and records of the business of the Company will be kept at the Company’s principal office and at other places as may be designated by the members. Notice will be given to each member of any changes in the location of the Company books and records. The Company books and records will be open to inspection, audit and copying by any member, or the designated representative of a member, upon reasonable notice at any time during business hours for any purpose reasonably related to the member’s interest in the Company. Any information obtained or copied will be kept and maintained in strict confidence except as otherwise required by law.
Location and Inspection. 21.1 Other than portable Goods, you must not move the Goods from their location noted on the Rental Agreement without our prior written consent.

Equipment shall be delivered and thereafter kept at the location specified above, or, if none is specified, at Lessee's address set forth above and Lessee shall not remove or allow to be removed therefrom without Lessor's prior written consent. Any and all costs incurred by Lessor as a result of such relocation shall be borne by Lessee. Any charges hereunder shall not abatx xxxing the period the Equipment is out of service due to any such relocation requested by Lessee. Lessee shall permit Lessor on its premises to inspect the equipment and the business records of Lessee relating to it during normal business hours.

The Equipment will not be removed from, or if the Equipment consists of rolling stock, its permanent base will not be changed from, the Equipment Location without Lessor's prior written consent, which will not be unreasonably withheld. Lessor will be entitled to enter upon the Equipment Location or elsewhere at all reasonable times to inspect the Equipment or observe its use and operation, and Lessor and its agents shall have such rights of access to the Equipment as may be reasonably necessary to cause the proper maintenance of the Equipment in the event of failure by Lessee to perform its obligations hereunder. Notwithstanding its designation as Lessor, the Lessor does not own the Equipment and by this Agreement is merely financing the acquisition thereof for Lessee. Lessor does not operate, control or have possession of the Equipment and has no control over the Lessee or the Lessee’s operation, use, storage or maintenance of the Equipment.

If equipment needs to be relocated to a different store, you will contact Bepoz Global Pty. Limited for support. If any equipment needs to be relocated to another venue, Bepoz Global Pty. Limited will be contacted and charges will apply for a technician to go on-site.

The books of account and all other records relating to or reflecting the Operation of the Hotel (which shall in any event be sufficient to reflect the Operation of the Hotel) shall be kept at the Hotel. Provided, however, Owner and Operator agree that solely with respect to centralized Hotel Purchases, the Global Reservations System and Centralized Services, at the Operator’s central office, or at any other location in Canada or the United States considered by the Operator to be suitable for the purpose, and shall be available to the Owner and its representatives at all reasonable times for examination, audit, inspection and transcription. All books and records which are kept at the Hotel, excluding any such books or records which are Proprietary Materials but otherwise including, without limitation, books of account, guest records and preferences, and front office records, shall at all times be the property of the Owner and, except as herein otherwise provided, shall not be removed from the Hotel by the Operator without the Owner’s consent except to the extent necessary for the proper operation of a central billing system or other Centralized Services. The Owner shall be entitled to receive a copy of any data or information ascertained by the Operator during the Operation of the Hotel, excluding any such data or information which is Proprietary Materials. Notwithstanding anything herein to the contrary, Owner grants the Operator the right and license to copy and utilize, for corporate purposes related to the Hotel and to other hotels operated or licensed by Operator Parent and its Affiliates, all guest records and preferences created during the entire Operating Term of this Agreement (“Guest Records License”). The Guest Records License shall survive and continue in effect notwithstanding the expiration or termination of this Agreement.
