Lease Terms and Conditions. Landlord hereby leases the Premises to Tenant, and Tenant hereby leases the Premises from Landlord, upon and subject to the following terms and conditions.

Lease Terms and Conditions. After the lease is issued, BOEM reserves the right to require compliance with additional terms and conditions associated with approval of a SAP or COP. The lease includes the following seven attachments: • Addendum ‘‘A’’ (Description of Leased Area and Lease Activities); • Addendum ‘‘B’’ (Lease Term and Financial Schedule); • Addendum ‘‘C’’ (Lease Specific Terms, Conditions, and Stipulations); • Addendum ‘‘D’’ (Project Easement); • Addendum ‘‘E’’ (Rent Schedule post-COP approval); • Appendix A to Addendum ‘‘C’’ (Incident Report: Protected Species Injury or Mortality); and • Appendix B to Addendum ‘‘C’’ (Required Data Elements for Protected Species Observer Reports). Addenda ‘‘A,’’ ‘‘B,’’ and ‘‘C’’ provide detailed descriptions of lease terms and conditions. Addenda ‘‘D’’ and ‘‘E’’ will be completed at the time of COP approval or approval with modifications. Potential bidders should note that BOEM and the Bureau of Safety and Environmental Enforcement (BSEE) are in the process of reassigning regulations relating to safety and environmental oversight and enforcement responsibilities for offshore renewable energy projects from BOEM to BSEE. Once this administrative reassignment is finalized, BOEM may make ministerial and non-substantive amendments to the lease to conform it to the regulatory revisions.

Commencing upon the Additional Premises Commencement Date, other than as specifically provided for herein with respect to the Additional Premises, all the terms and conditions of the Original Lease shall also apply to and govern the Additional Premises. Tenant agrees that upon the Additional Premises Commencement Date, Tenant shall continue to be responsible for compliance with and satisfying all terms and conditions of the Original Lease, as amended by this Second Amendment, and specifically with those terms and conditions as are specifically set forth with respect to the Additional Premises herein which Tenant shall also be responsible for commencing upon the Additional Premises Commencement Date. Except to the extent any terms and conditions specifically provided for in this Second Amendment being specifically applicable to the Additional Premises, all terms and conditions of the Original Lease shall apply to and bind both the Additional Premises, in addition to the Original Premises. Notwithstanding the foregoing, this shall in no way diminish or reduce any responsibility, obligation or liability of Tenant pursuant to the Original Lease with respect to the Original Premises, but all such terms, conditions, obligations and responsibilities of Tenant with respect to the Original Premises shall continue for the full Term of the Lease.

If the lessee intends to continue to hold the lease into its operations term, the lessee must submit a COP at least 6 months before the end of the site assessment term.
