Renewable Energy Projects means the financing or refinancing of, or investments in the development, the construction, repowering and the installation of renewable energy production units for the production of energy through: (i) renewable non-fossil sources and (ii) hydro1, geothermal, wind, solar, waves and other renewable energy sources. Energy production units include small-scale energy generation systems and utility scale or centralised power generation systems.

• The Company and the Holding Company hereby certify that as of the date hereof, the Company Parties do not have access to, and do not reasonably anticipate future access to, any source of funds relating to the Renewable Energy Projects, exclusive of (i) any funds received by the Company Parties to perform operations and maintenance or asset management services (if applicable); and (ii) those funds expressly addressed in the Settlement Agreement or this Consent No.

• Service Provider shall timely apply for all required permits and approvals from all applicable authorities having jurisdiction relating to the construction of the Projects, and the operation and maintenance of the Renewable Energy Projects, and any other activities contemplated by this Power Purchase Agreement.

• All roof mounted Renewable Energy Projects shall utilize racking systems specifically selected for each application and in accordance with the Company RFP.

• In order to ensure that construction of the Renewable Energy Projects is not unduly delayed, in the event that any party to this Company Lease Agreement seeks the approval or consent of another party to this Company Lease Agreement, the party considering such request shall not unreasonably condition, withhold or delay such consent or approval.

• The Lessor hereby agrees to (i) finance the Renewable Energy Projects and the Capital Improvement Projects for the Series 2010 Local Units, and (ii) enter into the Local Unit License Agreements with the Series 2010 Local Units, thereby giving the Lessor nominal ownership of the Renewable Energy Projects, and providing the Company with a license and access to the Local Unit Facilities for the Series 2010 Local Units.

More Definitions of Renewable Energy Projects

Renewable Energy Projects means existing, on-going and/or future projects of conception, construction, operation and/or maintenance of renewable energy production units located in France, e.g. energy produced from wind (on-shore) and solar power and biomass (wood energy).

Renewable Energy Projects means development, acquisition, maintenance and operation of renewable energy sources, in particular:

Renewable Energy Projects means energy systems such as renewable energy, including wind power, combined with heat and power (CHP) cogeneration and district energy.

Renewable Energy Projects means any type of (a) electricity generation that does not directly emit carbon dioxide, solely in the form of solar or wind, and (b) storage of electric energy facilitating the integration of the foregoing sources of generation, in each case using technology that has a documented track record of being used in a commercial power project (excluding proof-of-concept or prototype- piloting projects) that has achieved commercial operations in the past ten years.

Renewable Energy Projects means new or repowered wind power energy generation projects, solar power energy generation projects and/or battery storage projects for renewable energy of the Company and/or its subsidiaries that will become operational on or after the Closing Date.
