Additional Premises Commencement Date definition

Additional Premises Commencement Date means the date on which Landlord shall deliver the Additional Premises to Tenant in the condition described in Section 4 below. The scheduled Additional Premises Commencement Date is October 1, 2017. If Landlord is unable to deliver possession of the Additional Premises to Tenant on the scheduled Additional Premises Commencement Date for any reason whatsoever, neither this Amendment nor the Lease shall be void or voidable, nor shall any such delay in delivery of possession of the Additional Premises operate to extend the Lease Term beyond the New Expiration Date or amend Tenant’s obligations hereunder or under the Lease. In such event, however, the Additional Premises Commencement Date shall be delayed by the same number of days as the delay in delivery. Upon either party’s request after the Additional Premises Commencement Date, the parties shall execute a letter confirming the Additional Premises Commencement Date and the New Expiration Date. Tenant and its authorized agents, contractors, subcontractors and employees shall be granted a license by Landlord to enter upon the Additional Premises, at Tenant’s sole risk and expense, fifteen (15) days prior to the Additional Premises Commencement Date for the purposes of installing furniture, fixtures and equipment; provided, however, that (i) the provisions of the Lease, as amended hereby, other than with respect to the payment of Base Rent and Building Direct Expenses for the Additional Premises, shall apply during such early entry, including, but not limited to, the provisions of Article 10 of the Lease relating to Tenant’s indemnification of Landlord, (ii) Tenant shall pay all utility, service and maintenance charges for the Additional Premises attributable to Tenant’s early entry and use of the Additional Premises as reasonably determined by Landlord, and (iii) prior to such entry, Tenant shall have delivered to Landlord (A) an executed original of this Amendment, (B) payment in an amount equal to the Base Rent for the Additional Premises for the first (1st) month) of the Lease Term in which Base Rent is due for the Additional Premises, and (C) the Additional L-C (as defined below). Upon Tenant’s breach of any of the foregoing conditions, Landlord may, in addition to exercising any of its other rights and remedies set forth herein, revoke such license upon written notice to Tenant.
Additional Premises Commencement Date shall be the later of: (a) October 1, 2010, or (b) the date that Landlord delivers the Additional Premises free of any prior tenant or occupant. The “Additional Premises Rent Commencement Date” shall be the Additional Premises Commencement Date.
Additional Premises Commencement Date means July 1, 2008. From and after the Additional Premises Commencement Date, the term “Premises” where used in the Lease (as amended hereby) shall mean the Existing Premises and the Additional Premises collectively, such that the Premises shall consist of a total of approximately 162,122 rentable square feet. The Additional Premises shall be leased by Tenant in its “AS IS” condition on the Additional Premises Commencement Date, without obligation on Landlord’s part to construct or pay for any improvements or alterations to or for, or provide any improvement or refurbishment allowance for, the Additional Premises.

Examples of Additional Premises Commencement Date in a sentence

  • Tenant shall use commercially reasonable efforts to cause Tenant’s Planners to prepare the Approved Plans, and to cause Tenant’s Contractors to obtain permits or other approvals, diligently commence and prosecute the Work to completion, and obtain any inspections and occupancy certificates for Tenant’s occupancy of the Premises by the Additional Premises Commencement Date set forth in the Lease Document.

  • During any period that Tenant shall enter the Additional Premises prior to the Additional Premises Commencement Date to perform Work under Exhibit B hereto, or to install telecommunications and computer cabling, equipment and furniture, Tenant shall comply with all terms and provisions of the Lease, except that the Additional Premises Commencement Date shall not occur based on such early possession for such purposes.

  • The “Additional Premises Rent Commencement Date” shall be the Additional Premises Commencement Date.

  • On the Additional Premises Commencement Date, the Additional Premises shall be added to the Premises under the Lease, and all terms and conditions then or thereafter in effect under the Lease shall apply to the Additional Premises, except as provided to the contrary herein.

More Definitions of Additional Premises Commencement Date

Additional Premises Commencement Date means the earlier of (i) October 1, 1995, or (ii) the date on which Tenant first occupies the Additional Premises (or any part thereof) for the conduct of its business.
Additional Premises Commencement Date means May 7, 1997.
Additional Premises Commencement Date as it relates the Additional Premises described in Section 1(a) above, shall mean the “Turnover Date” for such Additional Premises.

The parties hereby acknowledge that the Additional Premises are presently leased to and occupied by an existing tenant and, accordingly, Lessor's ability to lease and deliver the Additional Premises pursuant hereto is subject to the condition precedent that Lessor terminate such existing tenant's lease and cause such existing tenant to vacate the Additional Premises (the "Condition Precedent"). Lessor shall not be liable for any failure to satisfy such Condition Precedent or any delay in the delivery of the Additional Premises pursuant hereto, nor shall any such delay affect this Eighth Amendment, except, however, that if such Condition Precedent is not satisfied by February 1, 1999, then, notwithstanding anything to the contrary contained in this Eighth Amendment, either party shall have the right to elect, by written notice delivered to the other party prior to the satisfaction of the Condition Precedent, to nullify and terminate this Eighth Amendment, in which event this Eighth Amendment shall be of no force or effect and neither party shall have any right, obligation or liability hereunder.
