January 2022. The Issuer today announces invitations (the "Consent Solicitation") to the Noteholders to consent to the modification of the terms and conditions of the Class A1 Notes, the Class A2a Notes, the Class B1a Notes and the Class C1a Notes (together, the "Sterling Notes") and consequential or related amendments to certain transaction documents relating to the Notes such that the existing Sterling LIBOR interest basis is replaced by a Compounded Daily XXXXX interest basis and new fallbacks are included to address the non-availability of XXXXX or the replacement of XXXXX, as proposed by the Issuer (the "Proposal") for approval by extraordinary resolution of the Noteholders of each Class (each an "Extraordinary Resolution" and together, the "Extraordinary Resolutions"). Unless otherwise indicated, capitalised terms used but not otherwise defined in this announcement have the meanings given in the Consent Solicitation Memorandum. The Proposal constitutes a Basic Terms Modification under the terms and conditions of the Sterling Notes, and therefore the holders of each Class are invited to approve the Proposal, even though the interest rate applicable to the Sterling Notes (and no other Notes) will be amended if the Proposal is implemented (although the sterling amounts payable by the Issuer under the cross-currency swaps in respect of the Notes that are not Sterling Notes (together, the "Non-Sterling Notes") will also be amended if the Proposal is implemented). If an Extraordinary Resolution in respect of any Class is not successfully passed or (in the case of any Class of the Sterling Notes) the related Eligibility Condition is not satisfied, then the Issuer will not implement the Proposal and no Class of the Sterling Notes will be amended (irrespective of whether or not the relevant Extraordinary Resolution(s) for any of the other Classes passes and/or any related Eligibility Condition(s) is satisfied). The Issuer has convened the Meetings for the purpose of enabling the Noteholders to consider and resolve, if they think fit, to approve the Proposal by way of a separate Extraordinary Resolution in relation to each Class, implementing:

  • December 2016  Unless differently stated in forthcoming revisions of the current Voluntary Agreement, the following reports shall be established by 30 April every year covering products placed on the market during the previous full calendar year, e.g. by 30 April 2018 for products placed on the market between 1 January 2017 and 31 December 2017. Within two weeks following the end of a reporting period, the Independent Inspector shall send a request to the Signatories to file their Reports. These shall be submitted no later than two months and two weeks after the end of the reporting period. The Reports shall be compiled by the Independent Inspector into a draft annual progress report (the “Annual Progress Report”) that will be submitted to the European Commission and the Signatories by the 12 April of the calendar year following the end of the reporting period for the purpose of checking inconsistencies and quality. The Independent Inspector will submit the Final Annual Progress Report to the Steering Committee no later than 30 April of the calendar year following the end of the reporting period. This Annual Progress Report will only show anonymous results. Signatories will not be named although individual achievements shall be disclosed (company A, company B, etc.). In case a company is found to be non-compliant, the Annual Progress Report shall provide the identity of the Signatory and detail the reasons for such non-compliance. The Independent Inspector shall be responsible for ensuring that confidentiality of the Signatory’s identity and any data or information provided to it under or in relation to this agreement is maintained. This shall include entering into a non-disclosure agreement with each Signatory if requested by the Signatory.
