Other Notes definition

Other Notes means Notes nearly identical to this Note issued to other Holders pursuant to the Purchase Agreement.

Other Notes means any Notes that are of the same class of this Note and that are represented by one or more certificates other than the certificate representing this Note.

Other Notes means any other notes issued pursuant to the SEPA and any other debentures, notes, or other instruments issued in exchange, replacement, or modification of the foregoing.

Examples of Other Notes in a sentence

• All payments due under this Note (a) shall rank pari passu with all Other Notes and (b) shall be senior to all other Indebtedness of the Company (other than Permitted Senior Indebtedness, Permitted Senior Indebtedness shall mean each indebtedness disclosed in Schedule 3(s) to the Securities Purchase Agreement).

• This Note and the Other Notes are unsecured, but shall be senior to all other Indebtedness of the Company(other than Permitted Senior Indebtedness).

• If the Company elects to cause a Company Optional Redemption of this Note pursuant to Section 8, then it must simultaneously take the same action with respect to all of the Other Notes.

• All payments due under this Note shall rank (i) pari passu with all Other Notes and all Subsequently Purchased Notes, (ii) effectively senior to all unsecured obligations of the Company to the extent of the value of the Collateral securing the Notes for so long as the Collateral so secures the Notes in accordance with the terms hereof and (iii) senior to any Subordinated Indebtedness.

• If the Holder or any Other Holder elects to redeem all or a portion of any Other Notes for all or a portion of the Cash Sweep Amount with respect to the same Cash Sweep Financing, the Trustee shall then select the redemption portions of the principal of this Note and such Other Notes on a pro rata basis to the extent practicable or such other method the Trustee deems fair and appropriate.

More Definitions of Other Notes

Other Notes means all of the senior notes, other than this Note, that have been issued by the Company pursuant to the Securities Purchase Agreement and all Notes issued in exchange or substitution therefor or replacement thereof.

Other Notes means, at any time, any one or more Series of other Notes of the Issuer which have the same or substantially the same Terms and Conditions (as then in effect and which have not lapsed and/or the rights in respect of which have not been exercised) as the Notes (other than in relation to the currency of original denomination and/or denomination and/or the Terms and Conditions relating to business days or interest accrual bases and/or the stock exchange(s) if any on which such Notes are listed and/or the clearing system(s) on which such Notes are cleared and settled and/or redenomination into euro and/or notices);

Other Notes shall have the meaning provided in the Notes.

Other Notes means the 9.625% Senior Notes due 2009 of the Issuers in an aggregate principal amount not to exceed the principal amount issued on the Issue Date, and the 10.000% Senior Notes due 2011 of the Issuers in an aggregate principal amount not to exceed the principal amount issued on the Issue Date.

Other Notes means the several 6% Senior Secured Convertible Notes due 2007-2008, issued by the Company pursuant to the Other Note Purchase Agreements.

Other Notes means any Notes that are of the same class of this Note and that are represented by one or more certificates other than the certificate representing this Note. Each other Incremental Note (as defined in the Securities Purchase Agreement) is an Other Note.

Other Notes means (i) the Existing Notes and (ii) each other series of senior unsecured notes or bonds of the Company that are pari passu with the Notes issued under this Agreement.
