INSTALLING THE SOFTWARE. SPI Software will provide the Client with the package consisting of programs delivered in object language directly assimilated by the computer provided in the configuration. The Customer shall provide, without charge, the necessary machine time, and magnetic media, to SPI Software, to perform the installation, training and all the updates of the software package. The installation, training and set-up of the computer network and software packages other than the subject of this contract will be carried out prior to the installation of the ProdManager software. It is the Customer's responsibility to have this work done. SPI Software cannot be held responsible for delays caused by the unavailability of designated equipment or personnel to be provided by the Customer. SPI Software personnel may not be used for purposes other than commissioning and training in the use of the software package. Any additional work requested by the Customer must be the subject of a separate agreement or an amendment to this contract. Specific developments as defined in this contract and its annexes will be the subject of an addendum drafted contradictorily at the end of the preliminary analysis. SPI Software will have to ensure that the seconded personnel to install the software respects professional secrecy for all information concerning the Customer.

INSTALLING THE SOFTWARE. Place the installation CD in your CD-ROM drive… a menu of installation options as illustrated below should be displayed within approximately 15- 20 seconds. If this auto-run facility fails, or is disabled on your computer, refer to the CD label for instructions. As shown in the illustration on the previous page, there are three options relating to the installation of the software: • HAZOP Manager V6.0 - Pressing this button will launch the setup routine for the program’s installation. This option must, of course, be selected for all installations. • DESkey DK2 Drivers - The software is protected by a DESkey Parallel Port, USB or PCMCIA security device (dongle). Pressing this button will launch the setup routine for installing the necessary drivers and DLLs on the target computer. This option must be selected for all installations. • DESkey Network Server Drivers - As mentioned above, the program is protected by a DESkey DK2 device. In most circumstances, this would be plugged directly into the computer currently running the HAZOP Manager program. It is possible, however, to have a DK2 encoded with multiple program licences, such that a single device will permit the simultaneous running of multiple copies of the software (up to the licence count). In this case, the DK2 will need to be plugged into a network server accessible to all workstations on which both the program and the basic DESkey DK2 drivers in the options above have been installed. Pressing this button will launch the setup routine for installing the necessary licence management software and drivers on the chosen network server. This option need only be selected in the circumstances described, and it would essentially be a separate procedure to that carried out for the first two choices above. For the sake of clarity, the procedures and decisions involved in each of the above three options will be described separately in the sections that follow.   • The Software The End User shall be granted to receive one copy of the Software and the Documentation and to load, install and properly use the Software for the maximum number of servers and users or workflows determined in the Form of Agreement and under the terms and conditions of this XXXX and the ELP. The Form of Agreement contains specific conditions valid for the agreement between the Licensor and the End User for the specific license. References to this XXXX within the present document include the reference to the Form of Agreement concluded with the End User. The Software Licenses defined, described in this document give the rights solely for the Eventus software and no other software or hardware or any other kind of components, unless otherwise stated.

  • Hardware Warranty A. RISK OF LOSS If you purchase any of the hardware Products directly from us, risk of loss or damage to hardware, will pass to you and acceptance will occur upon delivery to your “ship to” address or, if special shipping arrangements are agreed to, upon delivery to your carrier or designee. Title to hardware Products will pass from HPE to you upon full payment for or delivery of the Products, whichever is later. You agree to properly insure the Products for the benefit of HPE between the time risk of loss and damage pass and the time title passes.

  • SERVICE MONITORING, ANALYSES AND ORACLE SOFTWARE 11.1 We continuously monitor the Services to facilitate Oracle’s operation of the Services; to help resolve Your service requests; to detect and address threats to the functionality, security, integrity, and availability of the Services as well as any content, data, or applications in the Services; and to detect and address illegal acts or violations of the Acceptable Use Policy. Oracle monitoring tools do not collect or store any of Your Content residing in the Services, except as needed for such purposes. Oracle does not monitor, and does not address issues with, non-Oracle software provided by You or any of Your Users that is stored in, or run on or through, the Services. Information collected by Oracle monitoring tools (excluding Your Content) may also be used to assist in managing Oracle’s product and service portfolio, to help Oracle address deficiencies in its product and service offerings, and for license management purposes.

  • Server Software Subject to the terms and conditions of this XXXX, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.

  • Software Warranty We warrant that the Tyler Software will perform without Defects during the term of this Agreement. If the Tyler Software does not perform as warranted, we will use all reasonable efforts, consistent with industry standards, to cure the Defect in accordance with the maintenance and support process set forth in Section C(9), below, the SLA and our then current Support Call Process.

  • Firmware The Contractor shall deliver firmware required for production acceptance testing in accordance with CDRL A009 Contractor’s Supplier Configuration Management Plan.   • Software Title and ownership to Existing Software Product(s) delivered by Contractor under the Contract that is normally commercially distributed on a license basis by the Contractor or other independent software vendor proprietary owner (“Existing Licensed Product”), embedded in the Custom Products, shall remain with Contractor or the proprietary owner of other independent software vendor(s) (ISV). Effective upon acceptance, such Product shall be licensed to Authorized User in accordance with the Contractor or ISV owner’s standard license agreement, provided, however, that such standard license, must, at a minimum: (a) grant Authorized User a non-exclusive, perpetual license to use, execute, reproduce, display, perform, adapt (unless Contractor advises Authorized User as part of Contractor’s proposal that adaptation will violate existing agreements or statutes and Contractor demonstrates such to the Authorized User’s satisfaction) and distribute Existing Licensed Product to the Authorized User up to the license capacity stated in the Purchase Order or work order with all license rights necessary to fully effect the general business purpose(s) stated in the Bid or Authorized User’s Purchase Order or work order, including the financing assignment rights set forth in paragraph (c) below; and (b) recognize the State of New York as the licensee where the Authorized User is a state agency, department, board, commission, office or institution. Where these rights are not otherwise covered by the ISV’s owner’s standard license agreement, the Contractor shall be responsible for obtaining these rights at its sole cost and expense. The Authorized User shall reproduce all copyright notices and any other legend of ownership on any copies authorized under this clause. Open source software is developed independently of Contractor and may be governed by a separate license (“open source software”). If the open source software is governed by a separate License and provided under this Contract, Contractor shall provide a copy of that license in the applicable Documentation and the Authorized User's license rights and obligations with respect to that open source software shall be defined by those separate license terms and subject to the conditions, if any, therein. Nothing in this Contract shall restrict, limit, or otherwise affect any rights or obligations the Authorized User may have, or conditions to which the Authorized User may be subject, under such separate open source license terms.
