Seconded Personnel. EME will exercise its right to terminate the Secondment Agreement and will use Commercially Reasonable Efforts to have the Secondment Agreement terminate on the Project Closing Date.
Seconded Personnel. The Payment Amount will include all Personnel Costs of Seconded Personnel, to the extent attributable to the periods during which such Seconded Personnel are provided to the Services Recipients.
Seconded Personnel. Caterpillar and Navistar shall second, or cause their respective Affiliates to second, to the Company such salaried and management personnel in accordance with the Initial Staffing Plan and all Subsequent Staffing Plans and pursuant to the terms of the applicable Employee Secondment Agreement between the Company (on the one hand) and each of Caterpillar or its Affiliates and Navistar or its Affiliates (on the other hand). All decisions relating to the identification of any Member employee to be seconded to the Company and the significant terms of such secondment arrangement (including the date on which such employee’s secondment to the Company commences and the duration of such secondment period), to the extent not already set forth in the Initial Staffing Plan or a Subsequent Staffing Plan, or in the applicable Employee Secondment Agreement, shall be determined by the Board by Majority Consent.
Seconded Personnel. Contractor through its affiliates shall furnish to Company mutually acceptable personnel of the classifications requested by Company for the performance of work onboard Company's Drilling Unit (the "Seconded Personnel"). Although such personnel shall be seconded to Company, Contractor remains their legal employer and shall be responsible for payment of their salaries and benefits. Company shall reimburse Contractor's actual salary and benefit cost as well as any documented cost (and any VAT required to be paid with respect to such reimbursement, if applicable) incurred by Contractor or its affiliates in connection with the Seconded Personnel for the period(s) during which each such person is seconded to Company pursuant to this Agreement. Although the Seconded Personnel shall remain the employees of Contractor while working for Company pursuant to this agreement, the Seconded Personnel will work under the direct supervision and control of Company.
Seconded Personnel. 3.1 If Company is not reasonably satisfied with any NV Personnel for any reason, NV shall remove and replace such NV Personnel as soon as reasonably practicable at Company’s reasonable request and such replacement personnel shall otherwise meet the required qualifications, certifications and levels of experience as described in clause 2.1.2 and to the reasonable satisfaction of Company.
3.2 Notwithstanding anything to the contrary herein, no provisions of this Agreement will be construed to have the effect of forming any relationship of employer and employee between Company and any NV Personnel, each of whom shall remain an employee of NV (or its relevant Affiliate) for all purposes, including remuneration, promotion and career planning. Company shall employ Seconded Personnel who the Parties agree in writing from time to time will be employed by Company (the “Approved Seconded Personnel”) pursuant to a KSA employment contract approved by the Parties in writing (each, an “Approved Employment Contract”). Company shall supervise and control the activities of such Approved Seconded Personnel who are employees of Company in a manner consistent with this Agreement.
3.3 NV shall permit Company to employ such Approved Seconded Personnel, and shall permit such Approved Seconded Personnel to perform NV Services also while they are outside the KSA. While in the KSA during each secondment, such Approved Seconded Personnel shall devote substantially all of his or her working time to Company.
3.4 Company will be the sponsor and employer of such Approved Seconded Personnel for KSA immigration and labour law purposes, and will assist such Approved Seconded Personnel in obtaining and maintaining immigration and labour sponsorship as well as any other licenses or authorizations required for their work in connection with this Agreement. It is understood and agreed that Company shall have no liability whatsoever to any person if any Approved Seconded Personnel is unable to obtain a residence visa, work permit, or other license or sponsorship.
3.5 Company shall not enter into any amendments to an Approved Employment Contract or enter into any other agreements with such Approved Seconded Personnel, without the advance written approval of NV, such approval not to be unreasonably withheld or delayed.
3.6 The salary, normal working hours and benefits of any Approved Seconded Personnel shall be as defined and set out in the Approved Employment Contract, except as otherwise agreed ...
