Governing Terms and Conditions. If there is an irreconcilable conflict between the terms and conditions set forth in this Contract or any Contract Amendment and the terms and conditions set forth in any Exhibit, Appendix, Work Authorization or Supplemental Work Authorization to this Contract, the terms and conditions set forth in this Contract or any Contract Amendment shall control over the terms and conditions set forth in any Exhibit, Appendix, Work Authorization or Supplemental Work Authorization to this Contract.

The terms and conditions set out below, in the Purchase Order or in any other documents incorporated by reference in the Purchase Order (collectively the “Terms and Conditions”), constitute the exclusive and entire agreement between DynaIndustrial and Supplier with regard to the subject matter of a particular Purchase Order. DynaIndustrial hereby gives notice that it objects to and rejects any terms or conditions contained in any document which has been or may in the future be supplied to it by Supplier which are in addition to, different from, inconsistent with or attempt to vary any of the Terms and Conditions, whether such terms or conditions are set forth in Supplier’s bid, proposal, order acknowledgement, invoice or otherwise disclosed to DynaIndustrial. DynaIndustrial’s acceptance of the Supplier’s Goods and/or Services will not be construed as an acceptance of any terms or conditions contained in any such document provided by Supplier. If a particular Purchase Order is deemed to be an acceptance of a prior offer by Supplier, such acceptance is conditional on Supplier’s assent to these Terms and Conditions.

Governing Terms and Conditions. These are the only terms and conditions which are binding upon a Seller with the exception of those otherwise agreed in writing by the Seller which are imposed by a statute such as the Consumer Law and which cannot be excluded. Any direction by the Buyer either verbal or written to procure goods or services from the Seller will be deemed as acceptance by the Buyer of these terms and conditions, despite any provisions to the contrary in the direction or any Purchase Order issued by the Buyer.
Governing Terms and Conditions. All material received in response to this bid shall become the property of the State and shall not be returned to the Vendor. Regardless of the Vendors selected, the State reserves the right to use any information presented in a bid response. The content of each Vendor’s bid shall become public information once a contract(s) has been awarded. A responding bid that has been completed and signed by your representative shall constitute your company’s acceptance of all State of New Hampshire terms and conditions and shall legally obligate your company to these terms and conditions. A signed response further signifies that from the time the RFB is published until a contract is awarded, no bidder shall offer or give, directly or indirectly, any gift, expense reimbursement, or honorarium, as defined by RSA 15-B, to any elected official, public official, public employee, constitutional official, or family member of any such official or employee who shall select, evaluate, or award the RFB. Furthermore, a signed response signifies that any terms and/or conditions that may be or have been submitted by the Vendor are specifically null and void and are not a part of this bid invitation or any awarded purchase order, even if said terms and/or conditions contain language to the contrary. The form P-37 Contract attached hereto shall be part of this RFB and the basis for the contract(s). The successful Vendor and the State, following notification, shall promptly execute this contract form, which is to be completed by incorporating the service requirements and price conditions established by the vendor’s offer. Governing Terms and Conditions. (a) The terms and conditions in this document apply to the sale of Product from LyondellBasell Group entities incorporated in Australia and New Zealand (“Supplier”) to its customer (“Customer”). These terms and conditions prevail over any terms or conditions in any Customer documents and, together with any other conditions expressly agreed to in writing by Supplier and Customer in relation to a specific order, represent the entire agreement between Supplier and Customer. To avoid inconsistent provisions applying, no purchase order confirmation or other document issued by Customer will vary this Agreement, except as expressly agreed to in writing by Supplier.
Governing Terms and Conditions. 3.1 This Agreement shall be subject to, governed by, and shall incorporate the applicable provisions of Transporter's FERC Gas Tariff, including, without limitation, Section 17 of the General Terms and Conditions thereof, the Governing Rate Schedule, and the special terms and conditions stated in each Exhibit hereto with respect to the released transportation rights described in such Exhibit. Subject to the terms, conditions, and limitations of this Agreement and Transporter's FERC Gas Tariff, Replacement Shipper shall be deemed a Shipper for purposes of the Governing Rate Schedule and the applicable provisions of Transporter's FERC Gas Tariff and shall be subject to all obligations thereof.

SSAB hereby gives notice that it objects to and rejects any terms or conditions contained in any document which has been or may in the future be supplied by Supplier to SSAB which are in addition to, different from, inconsistent with or attempt to vary any of the terms or conditions of this Order whether such terms or conditions are set forth in Supplier’s tender, proposal, order acknowledgement, invoice or otherwise. SSAB’s acceptance of the Goods and/or Services shall not be construed as an acceptance of any terms or conditions contained in any such document. If this Order is deemed to be an acceptance of a prior offer by Supplier, such acceptance is conditional on Supplier’s assent to all the terms and conditions set forth in this Order.
