Ethical Purchasing Policy. 2.1 Without limiting or derogating from the ESCO’s obligation to comply with any Law, the ESCO must satisfy the Ethical Employment Standard at all times during the Term.
Ethical Purchasing Policy. It is a requirement of conducting business with the Customer that the Supplier accepts responsibility for the labour, human rights and environmental conditions in its supply chain or on which it supply goods and services. It is a condition of this Agreement that the Supplier is willing to endorse the Ethical Purchasing Policy, communicate it to staff and suppliers and make proactive, systematic improvements towards full compliance with it. The Supplier agrees to monitor and enforce compliance with the Ethical Purchasing Policy by it and its suppliers. The Supplier shall report progress in implementing it to the Customer on request, and shall inform the Customer of any significant breach in standards in the Supplier’s business or in the supply chain that becomes known to the Supplier, or is reported by a credible third party to the Supplier, during the course of the relationship. On signature of this Agreement and unless otherwise agreed by the Customer, the Supplier shall join the online ethical database SEDEX (xxx.xxxxx.xxx.xx) at its own cost. The Supplier hereby undertakes to complete the SEDEX supplier questionnaire, upload any audits carried out on its behalf which are less than a year old and give the Customer unrestricted access to all information uploaded to the database as specified by the Customer. Unless otherwise agreed by the Customer, the Supplier shall commission at its own cost any audits specified by the Customer, and the Supplier shall further undertake to put in place the resulting agreed corrective action plan within the specified timeframe. The Supplier shall, on the Customer’s request, procure that any of the Supplier’s sub-contractors (if applicable) shall comply at their own cost with any provisions set out in this Clause, as required by the Customer. If there is a serious breach of the Ethical Purchasing Policy or any provision of this Clause, and the Supplier refuses to implement the required corrective action, the Customer will be entitled to terminate this Agreement immediately on written notice.
