DOCUMENTATION AND RIGHT OF AUDIT. Seller shall maintain all records and accounts pertaining to payments, quantities, quality analyses, and source for all coal supplied under this Agreement for a period lasting through the term of this Agreement and for two years thereafter. Buyer shall have the right at no additional expense to Buyer to audit, copy and inspect such records and accounts at any reasonable time upon reasonable notice during the term of this Agreement and for 2 years thereafter.
DOCUMENTATION AND RIGHT OF AUDIT. 38.1 Where Contractor's invoice includes compensation for Work performed at a unit price, Contractor shall submit its determination of units of Work performed, determined in accordance with the provisions of this Contract, and substantiated by documents satisfactory in form and content to Owner. Upon verification by Owner of said documents, Owner will advise Contractor in writing of either acceptance of Contractor's determination of units or of Owner determination of such units.

Where Seller's invoice includes unit pricing or costs resulting from Buyer’s changes, Seller shall submit Seller's determination of units of Work performed, determined in accordance with the provisions of this Purchase Order and substantiated by documents satisfactory in form and content to Buyer. If Seller's invoice includes compensation for Work performed on cost-plus basis, all costs, expenses and other amounts so invoiced shall be substantiated and supported by documents satisfactory to, and verified by, Buyer. Seller shall maintain for a period of seven (7) years after final payment under this Purchase Order, all records and accounts pertaining to the Goods. Buyer shall have the right to audit, copy and inspect or cause to have audited, copied and inspected those records and accounts at all reasonable times during the course of Seller’s performance of the Purchase Order and for the above seven (7) year period.
DOCUMENTATION AND RIGHT OF AUDIT. Each party (and its representatives) has the right, at its sole expense during normal working hours and upon reasonable advance notice, to examine the records of the other party, but only to the extend reasonably necessary to verify the accuracy of any statement, charge or computation made under or pursuant to any of the provisions of this Agreement. Notwithstanding anything contained above, Seller shall maintain all records and accounts pertaining to payments, quantities, quality analyses, and source for all coal supplied under this Agreement for a period lasting through the term of this Agreement and for two (2) years thereafter. Buyer shall have the right at no additional expense to Buyer to audit, copy and inspect such records and accounts at any reasonable time upon reasonable notice during the term of this Agreement and for two (2) years thereafter, and Seller shall cooperate at no additional cost to Buyer. Buyer shall be responsible for all costs associated with travel by Buyer or Buyer’s auditor.

Seller agrees that Buyer will have the right to audit, copy and inspect, or cause to have audited, copied and inspected, Seller’s records and accounts pertaining to performance under this Purchase Order at all reasonable times during the course of performance hereunder and for a minimum period of five (5) years after final payment has been made to Seller, however, Buyer’s rights will not extend to any components of any lump sum amounts or unit rates.

Where Seller's invoices include compensation for work performed for a reimbursable price, all costs, expenses and other amounts so invoiced will be substantiated and supported by documents satisfactory to and verified by Buyer. Seller will maintain for a minimum period of five (5) years after final payment has been made to Seller under this Purchase Order all records and accounts pertaining to work performed hereunder. Seller agrees that Buyer will have the right to audit, copy and inspect, or cause to have audited, copied and inspected, Seller's records and accounts pertaining to performance under this Purchase Order at all reasonable times during the course of performance hereunder and for a minimum period of five (5) years after final payment has been made to Seller, however, Buyer's rights will not extend to any components of any lump sum amounts or unit rates.
DOCUMENTATION AND RIGHT OF AUDIT. 17.1 Contractor shall maintain all documents, information, records and accurate accounts pertaining to Work performed hereunder, including such other documentation and related systems and controls necessary for an accurate audit and verification of costs of all Work, for a period of at least six (6) years following receipt of final payment hereunder. Contractor shall also obtain and produce for inspection and audit by Owner any documents, records, books of account or other information which are the property of any Subcontractors, Affiliates or subsidiaries that may be deemed necessary in accordance with generally accepted accounting principles and generally accepted auditing standards.

Each party shall cooperate at no additional cost to the other party, but each party shall be responsible for actual out-of-pocket copying costs and all costs associated with travel by each party or either party’s ACNR COAL SALES, INC. LG&E/KU Contract No. J24006 auditor. For a period of two (2) years following termination of this Agreement, except to the extent required by law or regulatory agency, each party shall maintain as confidential all Confidential Information disclosed by the other party and shall not disclose (except to affiliates, subsidiaries, advisors or consultants (“Representatives”) subject to confidentiality arrangements substantially similar hereto) or use such Confidential Information for any purposes other than to evaluate or enforce each party’s performance and compliance with the provisions of this Agreement and directly-related governance, credit-worthiness, internal controls and archival purposes. “Confidential Information” shall not include any information which is or was independently available to, acquired by or developed by either party or which was or comes to be publicly available, in each case, other than by reason of a breach or default by either party of the confidentiality restrictions herein. Each party shall be responsible for any acts or omissions of its Representatives constituting a breach of this Article.
DOCUMENTATION AND RIGHT OF AUDIT. ABBREVIATED FORM shall maintain for a period of two (2) years after final payment under this Agreement, all records and accounts pertaining to assistance performed by ABBREVIATED FORM under this Agreement. TME shall have the right to audit, copy and inspect said records and accounts at all reasonable times for the purpose of verifying units furnished and/or costs incurred. PROPRIETARY RIGHTS All materials that ABBREVIATED FORM develops rendering assistance hereunder, including any inventions or copyright-worthy assistance products, shall become the sole and exclusive property of TME without limitation and such materials shall, together with any materials furnished to ABBREVIATED FORM by TME hereunder, be delivered to TME at the termination, completion or suspension of the assistance. LAWS AND REGULATIONS ABBREVIATED FORM will keep and have available all necessary records and make all payments, reports, collections and deductions and otherwise do any and all things so as to fully comply with all local, municipal and governmental laws, orders, codes, ordinances and regulations as far as they apply to the performance of the assistance. ABBREVIATED FORM shall keep current all governmental permits, certificates and licences (including professional licences) necessary for ABBREVIATED FORM to perform the assistance. INSURANCE ABBREVIATED FORM shall maintain the insurance coverage set forth below: Worker's compensation insurance, including occupational illness or disease coverage, or other similar social insurance in accordance with the laws the United Arab Emirates Notwithstanding the provisions of this Article, ABBREVIATED FORM is fully responsible and liable for the validity and coverage of all insurances during the provision of assistance under this Agreement. PAYMENT ABBREVIATED FORM’s invoices will be paid in accordance with the payment terms included elsewhere in this Agreement, or, in addition to or failing such payment terms, within 90 calendar days computed from the date of ABBREVIATED FORM 's fulfilment of the specified conditions and the date of receipt of ABBREVIATED FORM 's invoice, provided such invoice is properly drawn and accompanied by the required supporting documents TERMINATION AT TME’S OPTION TME shall have the unrestricted right to terminate for convenience further performance of all or any part of the assistance by written notice applying an one month term of notice.
