DETAILS OF THE PROPOSED DISPOSAL. Pursuant to the SSA, the Vendor has agreed to sell and the Purchaser has agreed to purchase the Sale Shares based on the terms and conditions of the SSA. Further information on the salient terms of the SSA are set out in Section 2.3 of this announcement. Subject to the completion of the SSA, Xxxx Xxxx shall continue to assume the entire responsibility for and undertaking to observe and perform all whatsoever agreements conditions covenants liabilities stipulations and terms on the part of Hong Seng contained and expressed in the Agreement entered with ICSB as well as to take the necessary actions to cause or procure ICSB to effect the transfer of Sale Shares in favour of REVENUE upon completion of the SSA, in which ICSB has agreed to the Proposed Disposal of the Sale Shares by Xxxx Xxxx to REVENUE. In addition, Xxxx Xxxx and ICSB has also on today executed a letter of extension whereby the parties have mutually agreed to extend the completion date of the Agreement from 16 May 2023 for a further period of 90 days to 14 August 2023, in order for Xxxx Xxxx to fulfill its obligations under the Agreement. As such, Xxxx Xxxx shall satisfy the balance consideration under the Agreement to ICSB on or before 14 August 2023.
