Customer Commitment to Additional Products and Services. Customer agrees to purchase an incremental amount of CSG Products and Services, which are not provided under the Agreement as of August 15, 2017, pursuant to an applicable Amendment or Statement of Work (the “Additional Customer Product and Service Commitment”) with a minimum aggregate price of *** ******* ******* ($*********) (the “Minimum Customer Purchase Obligation”) during contract years ****, ****, **** and ****. A purchase will be included in a given contract year as provided in the mutually agreed Amendment or Statement of Work as applicable. All payments due from Customer under any such Amendments and Statements of Work as applicable, including, by way of example and not limitation, service fees, license fees, installation fees and development fees, will be counted against the Minimum *** Confidential Treatment Requested and the Redacted Material has been separately filed with the Commission. Customer Purchase Obligation for the relevant calendar year as specified in the applicable Amendment or Statement of Work. Customer agrees that if, during any calendar year in which Customer is required to purchase a minimum amount of Additional Customer Product and Service Commitment, Customer fails to purchase Additional Customer Product and Service Commitment with aggregate purchase prices of at least *** ******* ******* ($*********), Customer shall pay to CSG, in addition to the purchase price for those Additional Customer Product and Service Commitment it has purchased in the relevant calendar year (the “Actual Purchase Amount”), an amount equal to the difference (a “Difference Payment”) between *** ******* ******* ($*********) and the Actual Purchase Amount. If Customer terminates a Statement of Work for the purchase of Additional Customer Product and Service Commitment for reasons other than failure of the relevant Additional Customer Management Services to comply with an applicable warranty under this Agreement or the relevant Statement Work or breach by CSG of this Agreement or the relevant Statement of Work, any amount payable for such terminated Additional Customer Product and Service Commitment that Customer does not pay as a result of such termination and that was included in the Actual Purchase Amount will be added to the Difference Payment payable by Customer for the relevant calendar year.   • Products and Services Part 2.9(a) of the Disclosure Schedule accurately identifies and describes each Company Product currently being designed, developed, manufactured, marketed, distributed, provided, licensed, or sold by the Company.

  • Additional Products Throughout the Term, Rockwell shall provide to DaVita and the DaVita Facilities the right to purchase and/or lease all current or new products manufactured, utilized, licensed, sold or distributed by Rockwell or any of its Affiliates (including products and product lines acquired by Rockwell or any of its Affiliates as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates) that are or that become Commercially Available and which are not already covered by this Agreement or by any other agreement, whether written or oral, between the parties hereto (such products are collectively referred to as “Additional Products” and individually as an “Additional Product”). Rockwell agrees to include DaVita in all of its and its Affiliates distributions of customer announcements regarding Rockwell’s or its Affiliates’ Additional Products. The purchase price for any such Additional Products shall be negotiated by the parties hereto in good faith and the agreed upon purchase price shall be memorialized in writing as a supplement or amendment to this Agreement. Rockwell covenants and agrees that it shall only make an offer for the sale of any Additional Product(s) to DaVita’s Vice-President of Clinical Operations, Chief Medical Officer, or Vice-President of Purchasing, and not to any DaVita Facility directly; provided that the purchase of any Additional Product by DaVita or any DaVita Facility through a Rockwell product catalog made generally available to the dialysis community shall not be a breach by Rockwell of this Section 8.1. If Rockwell or any of its Affiliates acquires any Additional Product(s) as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates with a Person with which DaVita or a DaVita Facility, as applicable, already has a purchase or rebate arrangement whether written or oral (a “Prior Agreement”), Rockwell or such Affiliate covenants and agrees that it shall continue to abide by all of the terms and conditions of such Prior Agreement or if DaVita requests, such Additional Product(s) shall be included in this Agreement on terms to be negotiated and determined by the parties hereto as provided in this Section 8.1.

  • Omitted Services The Parties each have used commercially reasonable efforts to identify and describe the Scheduled Services. However, the Parties acknowledge and agree that there may be services which are not identified on Schedule 1 or Schedule 2, as applicable, that (A) in the case of the CLNC Services, were provided by a Service Provider to a Service Recipient or its subsidiaries during the Look-Back Period, (B) had been performed by the employees now employed by a Service Provider or its Affiliates or provided pursuant to contracts to which a Service Provider or its Affiliates is now a party or assets now owned by Service Provider or its Affiliates, and (C) are necessary to operate the business of the Service Recipient (as such business is currently conducted) after the Closing Date (collectively, the “Omitted Services”). At any time during the sixty (60) day period immediately following the Effective Date, a Service Recipient may provide written notice to its Service Provider requesting such Omitted Services setting forth in reasonable detail a description of the requested Omitted Service(s), the proposed start date or dates and the proposed termination date or dates. The Parties agree to cooperate and negotiate in good faith using reasonable efforts in order to come to an agreement regarding the provision of Omitted Services on reasonable terms and conditions that are mutually agreed to by the Parties; provided however, that if the Parties cannot agree on the termination date or dates of the Omitted Service(s), such service(s) shall be provided for a ninety (90)-day term. Any Omitted Services shall be subject in all respects to the terms of this Agreement, shall be considered added to Schedule 1 or Schedule 2, as applicable, shall constitute an agreed amendment to this Agreement and shall thereafter be considered a Scheduled Service.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].
