Content Licence. 19451643.2 44 18.8 Save where this Agreement is terminated by Gamesys pursuant to clauses 15.4, 15.5 or 15.11 (pursuant only to Gamesys terminating the Real Money Gambling Operating Agreement in accordance with clause 20 (USA Suitability) of that agreement), if Intertain wishes for Gamesys or any of its Affiliates to serve any Gamesys Games after the Term onto the Branded Apps or any of them, the Parties shall use their reasonable endeavours (acting in good faith) to agree the terms upon which such Gamesys Games may be provided by Gamesys, it being anticipated that any such terms shall be based on the Gamesys Group’s then standard licence terms offered by it to other customers of its remote social gaming server (RSGS) from time to time for non-exclusive games and shall also include, inter alia, the following key commercial terms:
Content Licence. 6.6 We grant you a non-exclusive, worldwide, revocable, non- sublicensable and non-transferable licence, for the Program Period, to access, download, display, modify and distribute the Content to other current Program participants and to your educational institution, as required, solely for the purpose of participating in the Program (Content Licence). You must not use our Content for your own commercial gain.
Content Licence. 4.8 We grant you a limited, personal, non-exclusive, non-sub-licensable and non-transferrable (except as provided below) and revocable licence to access and use the Content through the means provided in the Software or the relevant service for your use. The duration of such Content provision will be as determined by us at our sole discretion (unless we expressly agree another duration with you).
Content Licence. The Foundation grants to you a personal, limited, revocable, non-transferable and non- exclusive right and licence to access, use, read and download the Content located on the Websites for personal, non-commercial and not-for-profit use only. This licence is revocable by The Foundation at any time without notice and with or without cause. You may print pages from the Websites for your personal, non-commercial use only, provided that you do not modify any of the Content and you do not remove or alter any visible or non-visible identification, marks, notices, or disclaimers. Other than as specifically described herein, no Content may be modified, copied, distributed, forwarded, framed, reproduced, republished, downloaded, displayed, posted, transmitted, provided, submitted, or sold in any form or by any means, in whole or in part, without the prior written permission of The Foundation (or, in the case of User Content, the owner of the rights to the User Content), except as expressly permitted by this Agreement or by applicable copyright laws. You are responsible at all times for acting in compliance with applicable copyright laws and all other laws. You will abide by and maintain all copyright and other legal notices, information, and restrictions contained in any Content accessed through the Websites.

  • Patent License For patent claims including, without limitation, method, process, and apparatus claims which You or Your Affiliates own, control or have the right to grant, now or in the future, You grant to Us a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable patent license, with the right to sublicense these rights to multiple tiers of sublicensees, to make, have made, use, sell, offer for sale, import and otherwise transfer the Contribution and the Contribution in combination with the Material (and portions of such combination).   • Grant of Copyright License Subject to the terms and conditions of this Agreement, You hereby grant to OIDF and to recipients of software distributed by OIDF a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

The use of such license by the Collateral Agent may only be exercised, at the option of the Collateral Agent, during the continuation of an Event of Default; provided that any license, sublicense or other transaction entered into by the Collateral Agent in accordance herewith shall immediately terminate at such time as the Collateral Agent is no longer lawfully entitled to exercise its rights and remedies under this Agreement. Nothing in this Section 4.01 shall require a Grantor to grant any license that is prohibited by any rule of law, statute or regulation, or is prohibited by, or constitutes a breach or default under or results in the termination of any contract, license, agreement, instrument or other document evidencing, giving rise to or theretofore granted, with respect to such property or otherwise unreasonably prejudices the value thereof to the relevant Grantor. In the event the license set forth in this Section 4.01 is exercised with regard to any Trademarks, then the following shall apply: (i) all goodwill arising from any licensed or sublicensed use of any Trademark shall inure to the benefit of the Grantor; (ii) the licensed or sublicensed Trademarks shall only be used in association with goods or services of a quality and nature consistent with the quality and reputation with which such Trademarks were associated when used by Grantor prior to the exercise of the license rights set forth herein; and (iii) at the Grantor’s request and expense, licensees and sublicensees shall provide reasonable cooperation in any effort by the Grantor to maintain the registration or otherwise secure the ongoing validity and effectiveness of such licensed Trademarks, including, without limitation the actions and conduct described in Section 4.02 below.
