Consultants’ Reports. The Independent Engineer Report, the Environmental Report and the Insurance Report, in each case, in form and substance reasonably satisfactory to Administrative Agent and permitting reliance thereon by Administrative Agent and the Lenders, shall have been delivered to Administrative Agent.
Consultants’ Reports. Each Financing Party shall have received an electronic copy of a report of each Independent Consultant as to the matters set forth opposite such report on Appendix I.

Xxxxx City shall cause the Environmental Consultants to deliver at the same time a reliance letter addressed to the Owner Lessor and the Owner Participant allowing them to rely on such reports as if addressed to each of them.

The Administrative Agent shall have received a satisfactory report of the Independent Engineer discussing such matters as to the Projects as the Lenders may require, including (i) technical aspects of the Projects; (ii) all Major Project Documents; (iii) operating budget; (iv) maintenance program; and (v) pro forma revenues and operating expenses with respect to the Projects, and dated no earlier than fifteen (15) days prior to the Closing Date. The Administrative Agent shall have received an Amended and Restated Professional Services Agreement entered into between the Independent Engineer, the Administrative Agent, the Borrower and Bloom, in form and substance satisfactory to the Administrative Agent.

Permit each of the Independent Engineer, the Environmental Consultant, the Insurance Consultant and any other consultant or advisor to the Secured Parties with respect to the Project to inspect the Project, to examine and make copies of the Borrower's records concerning the Project and to discuss the affairs, finances and accounts of the Borrower and the Project with the Borrower, the Shareholders, the Sponsors and their respective officers, and provide any other information that the Intercreditor Agent may reasonably request, in order for the Independent Engineer, the Environmental Consultant, the Insurance Consultant or such other consultant or advisor, as the case may be, to timely furnish to the Intercreditor Agent such reports relating to the Project as the Intercreditor Agent shall from time to time reasonably request in light of the circumstances then prevailing.
