Major Project Documents definition
Major Project Documents means the WECC Fixed Price Gas Sale and Power Purchase Agreement, the Index Based Gas Sale and Power Purchase Agreement, the Index Hedge, the Working Capital Facility, the Master Operation and Maintenance Agreement, the Master Maintenance Services Agreement, the Calpine Performance Guaranty, the Master Construction Management Agreement, the Calpine Project Undertaking and the Administrative Services Agreement.
Major Project Documents shall have no specified meaning.
Major Project Documents means the Offtake Agreements and each interconnection agreement related to any Offtake Agreement, the IP Security Agreement, the IP License Agreement, the PPA Indemnity Agreement, the PPA Amendments, the PPA Acknowledgement, the Assignment and Assumption Agreement, the LTSA, the Administrative Services Agreement, the [***] Guaranty, each of the Leases and Easement Documents, any REC Agreement, the LLC Agreement of the Borrower, the Pledgor LLC Agreement, the Equity Funding Agreement, any Project Document replacing any such Major Project Document or entered into in connection therewith, and any other Project Document and/or Contract entered into with an Affiliate of the Borrower identified as a Major Project Document on Schedule 5.11 or otherwise designated as a Major Project Document by the Lender and the Borrower.
Examples of Major Project Documents in a sentence
Lender shall have received on or prior to the Commercial Operation Date a copy of each Major Project Document executed after the Closing Date, if any (certified by a Responsible Officer of Borrower that such Major Project Documents previously delivered to Lender by Borrower are true, correct and in full force and effect) and any related Consent to the extent required pursuant to Section 5.13, in each case if and to the extent that a copy thereof has not previously been delivered to Lender.
All work previously done on the Project funded with the proceeds of the Loans has been done in all material respects in accordance with the applicable Major Project Documents.
More Definitions of Major Project Documents
Major Project Documents has the meaning, for the purpose of any Continuing Document, given to that term in schedule 5 (Continuing Documents) of the Intercreditor Agreement.
Major Project Documents means (a) each document, agreement or instrument listed on Schedule 1, (b) each Back-Up Servicing Agreement, (c) any guaranty agreements related to the foregoing executed by Persons in favor of any Portfolio Entity and (d) any replacements of the foregoing entered into in accordance with Section 8.2.12.
Major Project Documents means the following:
Major Project Documents means the MESPA, the MOMA, the Interconnection Agreements, each Lease, the Easements, the Service Application, the Administrative Services Agreement, the Gas Service Agreements, the Construction Services Agreement, any guaranty agreements related to the foregoing executed by Persons in favor of Company and, unless otherwise agreed by the Required Holders prior to its execution and delivery, any Additional Project Document.
Major Project Documents means the PUMA, each ESA, the Administrative Services Agreement, the Policy, each Lease, any guaranty agreements related to any of the foregoing executed by Persons in favor of Borrower, each Replacement Major Project Contract and any Material Additional Project Document.
Major Project Documents means each Major Construction Contract, the PPAs, the Biomass Services Agreement, the Interconnection Agreement, the Ground Lease, the Transmission Agreement, any guaranty agreements related to the foregoing executed by Persons in favor of Borrowers and, unless otherwise agreed by Administrative Agent prior to its execution and delivery, any Additional Project Documents.
Major Project Documents means the Initial Project Documents and, unless otherwise agreed by Administrative Agent prior to its execution and delivery, any Additional Project Documents.
