If within 30 calendar days of providing such notice, the Majority Holders notify the Trustee in writing that they object to the retention of such Independent Consultant, such Independent Consultant shall not be retained by the Company and the Company will provide notice of the proposed retention of a different Independent Consultant in the same manner.
The process will continue until the Company has proposed retention of an Independent Consultant that is not objected to by the Majority Holders.
If such objection has not been received by the Trustee within 30 calendar days of providing such notice, the retention of such Independent Consultant shall be deemed to have been approved by the Majority Holders.
For each disputed proration submitted to the Financial Independent Consultant, the Financial Independent Consultant must select either the proration proposed by Commnet or the proration proposed by B▇▇▇▇, each as set forth in the applicable Proration Certificate, which selection will be set forth in a report prepared by the Financial Independent Consultant (the “Financial Independent Consultant Proration Report”) and submitted to the Parties.
