Definition of Power Market Consultant


Power Market Consultant means PHB Hagler Bailly, Inc. or another nationally recognized power market consulting firm which, as Power Market Consultant, will perform a market study of certain markets relating to the Facility and develop independent electricity price forecasts for the benefit of the Noteholders.

Examples of Power Market Consultant in a sentence

On or prior to the first (1st) Business Day of each calendar quarter (each, a "Determination Date"), the Borrower shall provide evidence reasonably satisfactory to the Administrative Agent (in consultation with the Power Market Consultant) that such condition will be satisfied for the immediately following three (3) month period beginning with such Determination Date.
Receipt of the Power Market Consultant Report, in form and substance reasonably satisfactory to the Arrangers.
The initial Power Marketing Plan shall be reasonably satisfactory to the Arrangers (in consultation with the Independent Engineer and the Power Market Consultant) in all respects and subsequent Power Marketing Plans shall be reasonably satisfactory to the Administrative Agent (in consultation with the Independent Engineer and the Power Market Consultant) in all respects.
Exhibit P hereto shall automatically be deemed amended to reflect such addition unless, within 30 days of such notification, Borrower notifies Administrative Agent that it objects, on the basis of the criteria set out in clauses (a) through (c) above for removal of the Power Market Consultant, to the firm or firms so added.
At any time while the Obligations are outstanding, Administrative Agent, the Arrangers, the Banks and the Lender Group Members shall have the right, but shall not be obligated (other than as expressly provided herein or in the other Credit Documents), to consult with the Power Market Consultant on matters related to this Agreement or any other Credit Document.
