At-Will Employees. The Company, Buyer or one of their affiliates shall offer continued at will employment to each person listed on Schedule 5.4, provided that all compensation, bonuses and benefits owed to such persons in respect of periods prior to the Closing Date shall have been paid by the Company prior to the Closing or binding arrangements therefor have been made to the satisfaction of Buyer.
At-Will Employees. All employees at the Facilities are employees of Seller and are employees-at-will.
At-Will Employees. After the Effective Time, a substantial majority of the employees of WBC will have the opportunity to continue their at-will employment with Frontier, if and to the extent that mutually suitable job opportunities are available. WBC employees whose positions are eliminated as a result of the Merger, and who remain employees of WBC through Closing or, where required by Frontier for post-merger systems integration and conversion activities (“conversion”), through conversion, will be eligible to receive upon Closing or conversion severance pay and/or stay bonuses. The specific terms and conditions and personnel of the stay bonus/severance program will be determined by Frontier prior to closing, in consultation with WBC’s senior management.
At-Will Employees. All employees shall be hired or terminated at the discretion of the City Manager pursuant to the rules of the personnel system. Nothing in this Agreement shall be construed to infer that any City employee has any tenure or vested rights to employment with the City of Kerman.
At-Will Employees. Unless otherwise approved by the board of directors of the Company, including one of the Preferred Directors, all Company employees hired after the date of this Agreement shall be employed on an at-will basis.
At-Will Employees. All employees located at each Facility as of Closing are employees of BPMSL and are employees-at-will.
At-Will Employees. Nothing in this Agreement shall alter the “at will” nature of Specified Employees who are at-will employees of a Company as of the Closing, entitle any Specified Employee to employment by the Companies or an Ohr Party for any particular period of time, or otherwise limit or prohibit the Companies or an Ohr Party from terminating the employment of any Specified Employees at any time from and after the Closing Date except as otherwise limited or prohibited by applicable Law or applicable Contract between such Specified Employee(s) and the Companies or an Ohr Party, as the case may be.
At-Will Employees. It is Seller's published policy that all Employees of the Business are employed "at will".
At-Will Employees. Except as Disclosed in Schedule 3.1(u) and except with regard to any employment agreements entered into pursuant to the terms of this Agreement, none of the Company or the Subsidiaries is a party to any employment agreement that causes any employee to be other than an “at will” employee.
At-Will Employees. At Closing, all WINW employees will be at-will employees, and WINW will owe no severance or other contractual obligations to them in the event of employment termination.
