Agreement to Consent. Each Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such Warrant Holder’s Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement.
Agreement to Consent. Each Public Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such Public Warrant Holder’s Public Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement, and such Public Warrant Holder shall not withdraw or cause to be withdrawn any such consent; provided, however that such consent may be withdrawn if this Agreement is terminated pursuant to Section 1.06 hereof.
Agreement to Consent. The Landlord has agreed to give consent to the assignment to the Assignee on condition that the Guarantor enters into this guarantee.

The Forward Purchase Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of the Forward Purchase Warrant Holder’s Forward Purchase Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement, and the Forward Purchase Warrant Holder shall not withdraw or cause to be withdrawn any such consent; provided, however that such consent may be withdrawn if this Agreement is terminated pursuant to Section 1.07 hereof.
Agreement to Consent. Each Warrant Holder shall deliver to the Company its timely consent with respect to the Consent Solicitation with respect to all of such Warrant Holder’s Subject Warrants, as applicable, by executing Letters of Transmittal and Consent (as defined in the Registration Statement) or requesting that their broker or nominee consent on their behalf, in accordance with the terms and conditions of the Consent Solicitation as described in the Registration Statement, and notwithstanding anything contrary in the Registration Statement, such Warrant Holder shall not withdraw or cause to be withdrawn such consent.
Agreement to Consent. PATIENT’S STATEMENT The research project and treatment procedures associated with it have been fully explained to me. In addition, I have read the description of the clinical research study, or have had it translated into a language I understand. All experimental procedures have been identified and no guarantee has been given about the possible results. I have had the opportunity to ask questions concerning any and all aspects of the project and any procedures involved. I am aware that my primary doctor may be informed of my participation in this study, and that my primary doctor may be asked to provide information about my medical history. I am aware that participation is voluntary. I know that I may withdraw my consent at any time. I am aware that my decision not to take part, or to withdraw, will not restrict my access to health care services, and that I have not waived any of the legal rights that I would have if I were not a participant in a medical research study. It has been explained to me that my personal data, including data relating to health or condition, and ethnic origin, may be used as described in this consent form, but that confidentiality of medical records concerning my involvement in this project will be maintained in an appropriate manner. When required by law, the records of this research may be reviewed by applicable government agencies, including the U.S. Food and Drug Administration (FDA) and Formation Biologics, or their representatives. I, the undersigned, hereby voluntarily consent to participate as a patient in the above described research project. I will receive a copy of this consent for my records. I understand that if I have any questions concerning this research, or my rights in connection with the research, including if a research related injury occurs, I can contact the doctor(s) listed above. If I have questions concerning my rights in connection with the research, I can contact the Institutional Review Board or Ethics Committee, and that contact number has been provided to me. Agreement to Consent. (a) Prior to any termination of this Agreement, each of the Unitholders hereby agrees that it shall, and shall cause any other holder of record of any Covered Units (i) to respond to (or cause to be responded to), in accordance with the instructions contained therein and within two Business Days of receipt thereof, the Consent Solicitation; (ii) to grant (or cause to be granted) its Consent (as such term is defined in the Partnership Agreement) to the Purchase Agreement and any other matters necessary or advisable for the consummation of the Transaction; (iii) to take such other actions or deliver such other documents or instruments as may be necessary or required, including attending by person or proxy, any meeting of the Unitholders of the Partnership, in order to Consent to the Purchase Agreement and any other matters necessary or advisable for the consummation of the Transaction and (iv) to withhold (or cause to be withheld) Consent to (A) any proposal for any recapitalization, reorganization, liquidation, merger, sale of the Seller, WHLP, GP or any of the assets of the foregoing, including the Property, or other business combination or arrangement (other than the Transaction) and (B) any other action that could reasonably be expected to impede, interfere with, delay, postpone or adversely affect the Transaction, any Transaction contemplated by this Agreement or result in a breach in any material respect of any covenant, representation or warranty or other obligation or agreement of the Seller or WHLP under the Purchase Agreement.

Each Private Placement Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such Private Placement Warrant Holder’s Private Placement Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement, and such Private Placement Warrant Holder shall not withdraw or cause to be withdrawn any such consent; provided, however that such consent may be withdrawn if this Agreement is terminated pursuant to Section 1.07 hereof.
Agreement to Consent. Promptly following commencement of the Solicitation, Plainfield will Consent (and shall cause its nominee to Consent) to the Proposed Amendment and Waiver with respect to the Plainfield Notes and any Additional Notes (defined below) in accordance with the consent solicitation statement and the related consent form to be prepared by the Company in connection with the Solicitation, each as may be amended and supplemented from time to time, and not revoke such Consent.
Agreement to Consent. (a) Each Shareholder hereby agrees to execute a written consent in lieu of a special meeting of the Shareholders which will set forth such Shareholder's approval and adoption of this Agreement and the Merger.
