The Trustee will, upon receipt of a written order of the Issuer signed by an Officer of the Issuer (an “Authentication Order”), together with the other documents required under Sections 13.02 and 13.03 hereof, authenticate (i) Notes for original issue, of which $900,000,000 in aggregate principal amount will be issued on the Issue Date and (ii) any Additional Notes.
The Trustee will, upon receipt of a written order of the Co-Issuers signed by an Officer (an “Authentication Order”), authenticate Notes for original issue that may be validly issued under this Indenture, including any Additional Notes.
The Notes of the Issuer will be issued in one or more Series subject to the satisfaction of the conditions in the related Series Supplement and, with respect to Additional Notes, subject to satisfaction of the applicable conditions set forth in Section 2.15.
On the Additional Closing Date (if any), upon the terms and subject to the conditions set forth herein, the Company agrees to sell, and the Purchasers, severally and not jointly, agree to purchase, an aggregate Additional Subscription Amount of $10,000,000.00 of the Additional Notes and the Additional Warrants.
Such Authentication Order shall specify the amount of Notes to be authenticated and the date on which the Notes are to be authenticated, whether such Notes are to be Initial Notes, Additional Notes or Exchange Notes and whether the Notes are to be issued as one or more Global Notes and such other information as the Issuers may include or the Trustee may reasonably request.
