Such Issuers’ Order shall specify the amount of the Notes to be authenticated, the date on which the original issue of Notes is to be authenticated and whether the Notes are to be Initial Notes, Additional Notes or Unrestricted Global Notes.
Each such new Note shall be payable to such Person as such holder may request and shall be substantially in the form of Schedule 1(a) or Schedule 1(b), as applicable, or attached to the applicable Supplement with respect to any Additional Notes.
The Trustee shall authenticate and make available for delivery upon receipt of an Issuers’ Order, Opinion of Counsel and Officers’ Certificate from the Issuers (a) Initial Notes for original issue on the Issue Date in an aggregate principal amount of $350,000,000, (b) subject to the terms of the Indenture, Additional Notes, and (c) any Unrestricted Global Notes issued in exchange for any of the foregoing in accordance with the Indenture.
Notwithstanding anything to the contrary contained herein, the Company may enter into any Supplement providing for the issuance of one or more Series of Additional Notes consistent with, and in compliance with, Sections 2.2 and 4.14 hereof without obtaining the consent of any holder of any other Series of Notes.
For the avoidance of doubt, in determining whether the requisite Holders have consented in accordance with the first paragraph of Section 9.02, Additional Notes that have been issued under and in compliance with this Indenture at any time prior to (including immediately prior to) the time that such amendment, supplement or waiver becomes operative shall be included in such calculation.
