TO THE PURCHASE AGREEMENT. Section 12.1 of the Purchase Agreement is hereby amended by deleting the definition of "Total Capitalization"" in its entirety and substituting the following new definition in lieu thereof:

Any parts to Schedules 1.2(d) and 5.13 that have not been so amended and restated shall remain unchanged.
