Additional License Grants. (a) Subject to the terms and conditions of this Agreement, Spark hereby grants to Selecta a non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable, transferable and sublicensable (through multiple tiers) license under any Know-How in the Spark Background IP that Spark discloses to Selecta (in Spark’s sole discretion) solely to research, Develop, have Developed, Manufacture, have Manufactured, Commercialize and have Commercialized products that incorporate any Selecta Technology (but that do not incorporate any Gene Therapeutic Controlled by Spark) outside the Field.
Additional License Grants. Subject to Partner’s acceptance of and compliance with this Agreement, InVue hereby grants Partner a limited, revocable, non-exclusive, non-transferable, non-sublicenseable, license, during the Term and within Partner’s designated territory, to (a) resell the InVue Services to customers of Partner and (b) use the InVue Marks strictly in the manner as directed by InVue and solely to market and promote the InVue Services. Partner shall not use any of the InVue Marks, or any trademark similar thereto, in connection with any other product or service nor shall it attempt to register or attempt to register any InVue Mark in any jurisdiction. Partner shall not directly or indirectly engage in any unfair, unethical, misleading, or deceptive acts or practices that are or might be detrimental to the public or the goodwill or reputation of InVue, any of the InVue Services or any of the InVue Marks.

If you have licensed the Storage Foundation Cluster File System for Oracle Rac Linux on Power license, You may use the Licensed Software on the applicable operating system in the quantities and Use Levels on no more than the number of physical Processors or physical Servers from the applicable Server Tier as have been licensed to You by Symantec under an applicable License Instrument. Your License Instrument shall constitute proof of Your right to make and use such copies.

Licensor hereby further grants to Hulu a non-exclusive right and license to: reproduce, distribute, perform and display Licensor’s logos, trade names, trademarks, and service marks (collectively, “Licensor Marks”); and reproduce, distribute, perform and display clips, thumbnail images, art (including one-sheets, production stills and title treatment) and any other promotional materials (the, “Promotional Materials”), in each case, only as made available by Licensor to Hulu (or as may be generated by Hulu in accordance with Licensor’s prior approval) and any metadata associated with the Licensed Content provided by Licensor to Hulu; provided, however, that in the case of (a) and (b) above, such licenses shall be solely for the purpose of advertising, promoting and publicizing the exhibition of the Licensed Content on the Licensed Services in the Territory. Hulu covenants and warrants that (i) it shall not modify, edit or make any changes to the Promotional Materials without Licensor’s prior written consent, which consent shall not be unreasonably withheld or delayed; (ii) names and likenesses of the characters, persons and other entities appearing in or connected with the production of Licensed Content (“Names and Likenesses”) shall not be used separate and apart from the Promotional Materials; and (iii) Promotional Materials, Names and Likenesses, and Licensed Content shall not be used so as to constitute an endorsement or testimonial, express or implied, of any party, product or service, including, without limitation, the Licensed Services, Hulu, or any program service or other service provided by Hulu; nor shall the same be used as part of a commercial tie-in without Licensor’s prior written consent. Any promotional contests or giveaways to be conducted by Hulu that identifies Licensed Content or includes Promotional Materials shall require the prior written consent of Licensor, which consent shall not be unreasonably withheld or delayed, and shall be used only in accordance with Licensor’s instructions. The rights granted in this Section 2.4 shall be subject to, and Hulu shall comply with, any and all restrictions or regulations of any applicable guild or union with respect to the advertising and billing of the Licensed Content provided Licensor advises Hulu of such in writing.

(a) Subject to the terms and conditions of this Agreement, Licensor, on behalf of itself and its Affiliates, hereby grants to Licensee, during the Term, an exclusive (even as against Licensor and its Affiliates), royalty-free, fully paid-up, non-transferable (except as set forth in Section 16.4 and Schedule 16.5), non-sublicensable (except as permitted under Article 3), license to use the name “Xxxxxxxx”, solely in the corporate names set forth on Exhibit D in substantially the same manner in which such name was used in the Business. Licensee shall be responsible for compliance with all applicable Laws in using such corporate names.
