Outside the Field definition

Outside the Field shall have the meaning given in the License and Option Agreement.
Outside the Field means solely the prevention, treatment and/or modulation of human diseases and disorders other than cancer in humans. For the avoidance of doubt, Outside the Field does not include the prevention, treatment and/or modulation of cancer in non-human animals.
Outside the Field means uses of the Compound and/or Product in the Territory for uses in animal (non-human) species.

Examples of Outside the Field in a sentence

  • To the extent that ADA proceeds with any plans to license Existing Technology to third parties Outside the Field of Use, ADA will pay for all related costs, or if ADA proceeds with any plans to license Developed Technology to third parties Outside the Field of Use, each of ADA and Arch Coal shall pay for their proportional share of such costs based on the relative benefits to ADA and Arch Coal of such Developed Technology.

  • Outside the Territory or Outside the Field; Regulatory Approvals Outside the Territory or Outside the Field.

  • Lantern agrees that it will make reasonable efforts to prevent its licensees and distributors from distributing the Product Outside the Field, such reasonable efforts including terminating the license of any such sublicensee or distributor that continues to provide Product for distribution Outside the Field within ninety (90) days of receiving notice from Lantern that its Products are being distributed Outside the Field.

  • Except pursuant to the Confidential Dispute Resolution Process as expressly set forth in the ADR Process Agreement, during the Standstill Period Outside the Field Medtronic and its Affiliates hereby covenant not to (and not to cause, consent to or materially assist any Third Party to) Assert any Claim against NuVasive or any of its Affiliates for Patent infringement outside the Field.

  • Outside the Field, i) Institutions and their respective faculty or employees may practice and use the Patents and Materials for any purpose and ii) Institutions may license or permit third parties to practice and use the Patents and Materials.
