DOCUMENTATION AND RIGHT OF AUDIT. Seller shall maintain all records and accounts pertaining to payments, quantities, quality analyses, and source for all coal supplied under this Agreement for a period lasting through the term of this Agreement and for two years thereafter. Buyer shall have the right at no additional expense to Buyer to audit, copy and inspect such records and accounts at any reasonable time upon reasonable notice during the term of this Agreement and for 2 years thereafter.

DOCUMENTATION AND RIGHT OF AUDIT. Seller will maintain for a minimum period of five (5) years after final payment has been made to Seller under this Purchase Order all records and accounts pertaining to Goods sold or work performed hereunder. Seller agrees that Buyer will have the right to audit, copy and inspect, or cause to have audited, copied and inspected, Seller’s records and accounts pertaining to performance under this Purchase Order at all reasonable times during the course of performance hereunder and for a minimum period of five (5) years after final payment has been made to Seller, however, Buyer’s rights will not extend to any components of any lump sum amounts or unit rates.

Upon verification by Owner of said documents, Owner will advise Contractor in writing of either acceptance of Contractor's determination of units or of Owner determination of such units.

If Seller's invoice includes compensation for Work performed on cost-plus basis, all costs, expenses and other amounts so invoiced shall be substantiated and supported by documents satisfactory to, and verified by, Buyer. Seller shall maintain for a period of seven (7) years after final payment under this Purchase Order, all records and accounts pertaining to the Goods. Buyer shall have the right to audit, copy and inspect or cause to have audited, copied and inspected those records and accounts at all reasonable times during the course of Seller’s performance of the Purchase Order and for the above seven (7) year period.

Contractor shall also obtain and produce for inspection and audit by Owner any documents, records, books of account or other information which are the property of any Subcontractors, Affiliates or subsidiaries that may be deemed necessary in accordance with generally accepted accounting principles and generally accepted auditing standards.

Each party shall cooperate at no additional cost to the other party, but each party shall be responsible for actual out-of-pocket copying costs and all costs associated with travel by each party or either party’s auditor. For a period of two (2) years following termination of this Agreement, except to the extent required by law or regulatory agency, each party shall maintain as confidential all Confidential Information disclosed by the other party and shall not disclose (except to affiliates, subsidiaries, advisors or consultants (“Representatives”) subject to confidentiality arrangements substantially similar hereto) or use such Confidential Information for any purposes other than to evaluate or enforce each party’s performance and compliance with the provisions of this Agreement and directly-related governance, credit-worthiness, internal controls and archival purposes. “Confidential Information” shall not include any information which is or was independently available to, acquired by or developed by either party or which was or comes to be publicly available, in each case, other than by reason of a breach or default by either party of the confidentiality restrictions herein. Each party shall be responsible for any acts or omissions of its Representatives constituting a breach of this Article.
