Duties During Employment Period. During the "Term" (including any renewals thereof) as defined in Section 5 of this Agreement, the Executive shall:
Duties During Employment Period. Executive will be an employee of, and serve as the President and Chief Executive Officer of, the Corporation and will report solely and directly to the Board. In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of President and Chief Executive Officer in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Board. Executive agrees that to the best of his ability and experience he shall at all times conscientiously perform all of his duties and obligations under the terms of this Agreement.
Duties During Employment Period. Employee will be an employee of, and serve as the Chief Executive Officer of, the Corporation and will report directly to the Board. In such capacity, Employee will perform such duties and exercise such powers that are consistent with the position of Chief Executive Officer as set forth in the Bylaws of the Corporation and as are assigned to Employee by the Board. Employee agrees that to the best of his ability and experience he shall at all times conscientiously perform all of his duties and obligations under the terms of this Agreement.
Duties During Employment Period. Executive will be an employee of, and serve as the Executive Vice President and Chief Strategy and Development Officer of, the Corporation and will report directly to the Chief Executive Officer of the Corporation. In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of Executive Vice President and Chief Strategy and Development Officer in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Chief Executive Officer or the Board. Executive agrees that to the best of his or her ability and experience he or she shall at all times conscientiously perform all of his or her duties and obligations under the terms of this Agreement.
Duties During Employment Period. Employee will be an employee of, and serve as the Chairman of, the Company. In such capacity, Employee will perform such duties and exercise such powers that are customarily consistent with the position of Chairman of the Company, and agrees to use his best efforts to discharge such duties and responsibilities. Employee agrees that to the best of his ability and experience he shall at all times conscientiously perform all of his duties and obligations under the terms of this Agreement.
Duties During Employment Period. Executive will be the president and chief executive officer of the Company and will have the customary duties of a president and chief executive officer relating to the Company and its Affiliates as assigned to him from time to time by the Company's Board of Directors.
Duties During Employment Period. The Employee shall perform and discharge well and faithfully such duties for the Company as may be assigned to the Employee from time to time by the Board of Directors of the Company and/or the President of the Company and, in the absence of such assignment, such services customary to such office as are necessary to the operations of the Company. The Employee shall devote all of his business time, attention and energies to the business of the Company.
Duties During Employment Period. Employee will be employed by the Company as Executive Vice President, Chief Financial Officer and will report directly to the Chief Executive Officer. In such capacity, Employee will perform such duties and exercise such powers as are reasonably assigned to Employee by the Chief Executive Officer. Employee agrees that to the best of his ability and experience he shall at all times conscientiously perform all of the duties and obligations reasonably assigned to him by the Chief Executive Officer under the terms of this Agreement.
Duties During Employment Period. During the Employment Period, the Executive shall act as the President and Chief Operating Officer and have the responsibility for day-to-day management of its business. Should the Executive be required to relocate his residence, the Company shall pay any and all relocation expenses for the Executive and his family during, the term of this Agreement and any renewals end extensions thereof. If the Executive is elected as a director of the Company or any subsidiary of the Company, he will serve in such capacity without additional compensation. The Executive wil1 devote his full time, skill, labor and attention to the business of the Company and shall promptly and faithfully, perform all services pertaining thereto that are or may hereafter be required of him by the Company, provided that such services shall be consistent with his position as Chairman and Chief Operating Officer. Nothing in this agreement shall preclude the Executive from investing his personal assets and time in his personal investments, provided that such investments are not in competition with the business of the Company and that such activities do not unreasonably interfere with the performance of his duties hereunder and where the form or manner of such investments will not require services on the part of the Executive in the operation of the affairs of the business in which such investments are made and which participation is solely that of a passive investor.
Duties During Employment Period. (1) During the Employment Period, the Executive's position, including status, offices, titles and reporting requirements), authority, duties and responsibilities shall be at least commensurate in all material respects with the most significant of those held, exercised or assigned at any time during the ninety (90)-day period immediately preceding the Effective Date.
