Duties During Employment Period. Executive will be an employee of, and serve as the Executive Vice President and Chief Strategy and Development Officer of, the Corporation and will report directly to the Chief Executive Officer of the Corporation. In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of Executive Vice President and Chief Strategy and Development Officer in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Chief Executive Officer or the Board. Executive agrees that to the best of his or her ability and experience he or she shall at all times conscientiously perform all of his or her duties and obligations under the terms of this Agreement.

Executive will be an employee of, and serve as the Executive Senior Vice President and Chief Strategy and Development Risk Officer of, the Corporation and will report directly to the Chief Executive Officer of the Corporation. In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of Executive Senior Vice President and Chief Strategy and Development Risk Officer in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Chief Executive Officer of the Corporation or the Board. Executive agrees that to the best of his or her ability and experience he or she shall at all times conscientiously perform all of his or her duties and obligations under the terms of this Agreement.

In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of Executive Vice President and Chief Strategy and Development Financial Officer in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Chief Executive Officer or the Board. Executive agrees that to the best of his or her ability and experience he or she shall at all times conscientiously perform all of his or her duties and obligations under the terms of this Agreement.

In such capacity, Executive will perform such duties and exercise such powers that are consistent with the position of Executive Vice President President, General Counsel, and Chief Strategy and Development Officer Secretary in accordance with the amended and restated bylaws of the Corporation and as are assigned to Executive by the Chief Executive Officer of the Corporation or the Board. Executive agrees that to the best of his or her ability and experience he or she shall at all times conscientiously perform all of his or her duties and obligations under the terms of this Agreement.
