At-Will Employment from Change of Control Severance Agreement

Sanjay Kalra (the "Employee") and Harmonic Inc. (the "Company"), effective as of the latest date set forth by the signatures of the parties hereto below.

At-Will Employment. The Company and the Employee acknowledge that the Employee's employment is and shall continue to be at-will, as defined under applicable law. If the Employee's employment terminates for any reason, including (without limitation) any termination prior to a Change of Control, the Employee shall not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement, or as may otherwise be available in accordance with the Company's established employee plans and practices or pursuant to other agreements with the Company.

AT WILL EMPLOYMENT from Employment Agreement

EMPLOYMENT AGREEMENT (the Agreement) dated as of March 1, 2008, between Aileron Therapeutics, Inc., a Delaware corporation (the Company) and Joseph A. Yanchik III (the Executive).

AT WILL EMPLOYMENT. It is understood that the Executives employment by the Company continues to be on an at will basis and may be terminated at any time, for any reason or no reason, at the Executives option or the option of the Company, as the case may be, on the terms and subject to the conditions set forth in this Agreement.

At-Will Employment from Employment Offer

On behalf of Pandora Media, Inc. (the "Company"), we are pleased to offer you the position of Executive Vice President, Revenue Operations. This letter agreement sets forth the terms and conditions of your employment with the Company ("Agreement") if you accept and commence such employment. Please understand that this offer, if not accepted, will expire on Monday, June 9, 2014.

At-Will Employment. Your employment with the Company will be on an "at will" basis, meaning that either you or the Company may terminate your employment at any time without notice and for any reason or no reason, without further obligation or liability. Further, your continued employment as well as your participation in any benefit programs does not assure you of continuing employment with the Company. The Company also reserves the right to modify or amend the terms of your employment, compensation and benefit plans at any time for any reason. This policy of at-will employment is the entire agreement as to the duration of your employment and may only be modified in an express written agreement signed by the Chief Executive Officer of the Company.

At-Will Employment

At-Will Employment. No statement in the Plan should be construed to grant any Participant an employment contract of fixed duration or any other contractual rights, nor should the Plan be interpreted as creating an implied or an expressed contract of employment or any other contractual rights between the Company or a subsidiary and Participants. The employment relationship between the Company or its subsidiaries and Participants is terminable at-will (unless otherwise provided in a written employment agreement). This means that a Participant's employment relationship may be terminated at any time and for any reason or no reason by the Company, its subsidiaries or the Participant.

At-Will Employment from Change in Control Agreement

THIS EXECUTIVE SEVERANCE AND CHANGE IN CONTROL AGREEMENT (the "Agreement") is made by and between Glaukos Corporation (the "Company"), and Joseph E. Gilliam ("Executive") as of May 5, 2017.

At-Will Employment. Company (organization) values">The Company and Executive acknowledge that Executive's employment is and shall continue to be at-will, as defined under applicable law. If Executive's employment terminates for any reason, Executive shall not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement, or as may otherwise be available in accordance with the Company's established employee plans and practices in accordance with other agreements between the Company and Executive.

At-Will Employment from Executive Employment Agreement

This Executive Employment Agreement (the "Agreement"), is entered into as of April 11, 2016 (the "Effective Date"), by and between Pacira Pharmaceuticals, Inc., a California corporation (the "Company"), and Robert Weiland (the "Executive").

At-Will Employment. The Executive will be an "at-will" employee of the Company, which means the employment relationship can be terminated by either the Executive or the Company for any reason, at any time, with or without prior notice and with or without cause. The Company makes no promise that the Executive's employment will continue for any particular period of time, nor is there any promise that it will be terminated only under particular circumstances. No raise or bonus, if any, shall alter the Executive's status as an "at-will" employee or create any implied contract of employment. Discussion of possible or potential benefits in future years is not an express or implied promise of continued employment. No manager, supervisor or officer of the Company has the authority to change the Executive's status as an "at-will" employee. The "at-will" nature of the employment relationship with the Executive can only be altered by a written resolution approved by the Board.

At-Will Employment from Executive Employment Agreement

THIS EXECUTIVE EMPLOYMENT AGREEMENT (this "Agreement") is made as of the 24th day of March, 2017, between Progress Software Corporation, a Delaware corporation (the "Company"), and Paul Jalbert ("Executive").

At-Will Employment. Executive and the Company agree that Executive's employment with the Company constitutes "at-will" employment. Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, with or without good cause or for any or no cause, at the option either of the Company or Executive. However, as described in this Agreement, Executive shall be entitled to severance benefits in accordance with the terms of this Agreement.

At-Will Employment from Executive Employment Agreement

This Executive Employment Agreement (the "Agreement") is entered into as of March 22, 2017 (the "Effective Date") by and between Upland Software, Inc., a Delaware corporation (the "Company"), and Michael D. Hill ("Executive").

At-Will Employment. Executive and the Company agree and acknowledge Executive's employment with the Company constitutes "at-will" employment. Executive and the Company further agree and acknowledge that this employment relationship (and the Employment Term) may be terminated at any time, with or without cause or good reason, at the option of either Executive or the Company. Executive understands and agrees that neither Executive's job performance nor promotions, commendations, bonuses or the like from the Company give rise to or in any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of Executive's employment with the Company.

At-Will Employment from Executive Employment Agreement

This Executive Employment Agreement (the "Agreement") is entered into as of March 22, 2017 (the "Effective Date") by and between Upland Software, Inc., a Delaware corporation (the "Company"), and Timothy Mattox ("Executive").

At-Will Employment. Executive and the Company agree and acknowledge Executive's employment with the Company constitutes "at-will" employment. Executive and the Company further agree and acknowledge that this employment relationship (and the Employment Term) may be terminated at any time, with or without cause or good reason, at the option of either Executive or the Company. Executive understands and agrees that neither Executive's job performance nor promotions, commendations, bonuses or the like from the Company give rise to or in any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of Executive's employment with the Company.

At-Will Employment from Executive Employment Agreement

This Executive Employment Agreement (the "Agreement") is entered into as of March 22, 2017 (the "Effective Date") by and between Upland Software, Inc., a Delaware corporation (the "Company"), and John T. McDonald ("Executive").

At-Will Employment. Executive and the Company agree and acknowledge Executive's employment with the Company constitutes "at-will" employment. Executive and the Company further agree and acknowledge that this employment relationship (and the Employment Term) may be terminated at any time, with or without cause or good reason, at the option of either Executive or the Company. Executive understands and agrees that neither Executive's job performance nor promotions, commendations, bonuses or the like from the Company give rise to or in any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of Executive's employment with the Company.
