Web Site Materials definition

Web Site Materials means: (i) web pages, support files and related information and data principally associated with the Web Site; (ii) any and all text, graphics, HTML or similar code, applets, scripts, programs, databases, source code, object code, templates, forms, image maps, documentation, audio files, video files, log files or customer data, in each case principally associated with the Web Site; (iii) all copyrights, copyright registrations, copyright applications, trade secrets, moral rights, publicity rights and know-how, in each case principally associated with the Web Site; (iv) all content that has appeared in any past or present editions of the Web Site, whether archived on the Web Site or otherwise; and (v) the operation, concepts, look and feel of the Web Site and Web Site Materials listed in clauses (i) through (iv) above (the “Content”).
Web Site Materials means the text, logos, structure and materials ------------------ contained in Licensor's web site located at xxx.xxxxxxxx.xxx.
Web Site Materials include, without limitation: (i) web pages, support files and related information and data associated with the Web Sites; (ii) any and all text, graphics, HTML or similar code, applets, scripts, programs, databases, source code, object code, templates, forms, image maps, documentation, audio files, video files, log files or customer data; (iii) all content that has appeared in any past or present editions of the Web Sites, whether archived on the Web Sites or otherwise; (iv) all e-mail databases; and (v) the operation, concepts, look and feel of the Web Sites and Web Site Materials and business ideas associated with the PerreoRadio business.

Examples of Web Site Materials in a sentence

  • The web pages created or acquired by Telecom or Alpha with respect to the Business and principally associated with, or located at or under, the Domain Names (collectively, the “Web Site”), including all Web Site Materials.

  • Subject to the terms and conditions of the Acquisition Agreement, effective on the date hereof, Assignors hereby assign to Assignee all of their respective right, title and interest in and to the Domain Names, Web Site, Web Site Materials and Marks.

  • All domain names registered by Sellers related to the Business, all domain name registrations related to the Business, all rights to listings or keyword associations in any Internet search engines or directories, all Web Site Materials created or acquired by or for Sellers related to the Business, regardless of whether currently used all of which are listed on Schedule 1.1 (c) to this Agreement.

  • With respect to the Web Site Materials, the -------------------- license set forth in Section 2.1 includes the right to utilize the Web Site Materials (or Derivative Works thereof) in any web sites produced, owned or authorized by Licensee, in any advertising and marketing materials (in printed, electronic or other format), and in any other manner of usage deemed appropriate by Licensee, subject to the limitations set forth in Section 2.2 above.

  • The web pages created or acquired by Intermix or Social Labs with respect to the Business and principally associated with, or located at or under, the Domain Names (collectively, the “Web Site”), including all Web Site Materials.

  • All of Seller's files and records, and other files and records relating to the Websites and Web Site Materials and all files and records relating to all Intellectual Property and all ideas of Seller in connection with the Websites and Web Site Materials.

  • The web pages created or acquired by Seller with respect to PerreoRadio business and associated with, or located at or under, the Domain Names (collectively, the "Web Sites"), including all Web Site Materials.

  • All of Seller's Intellectual Property relating to the Domain Names, Web Sites and Web Site Materials.

Related to Web Site Materials

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Client Materials means [all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services];

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Web Site means the website that you are currently using (xxx.xxxxxxxxxxxxxxx.xx.xx) and any sub-domains of this site (e.g. xxxxxxxxx.xxx.xxxxxxxxxxxxxxx.xx.xx) unless expressly excluded by their own terms and conditions.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Product Information has the meaning specified in Section 10.12(a).

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Course Materials means any Education content provided to Customer in any media form pursuant to a Transaction Document, including without limitation, all publications, courseware, training manuals and materials, user guides, web portals, or virtual labs provided by CA or a CA subcontractor.

  • Research Materials means all tangible materials other than Subject Data first produced in the performance of this CRADA.

  • Waste Materials means any Contamination-causing solid, semi-solid, or liquid material discarded, buried, or otherwise present on the Property, and may include sludge, slag, or solid waste materials such as empty containers and demolition debris or materials containing asbestos, lead-based paint, or petroleum or other contaminants.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Printed Materials means a plastic disc storage case, title page, instruction booklet, warranty card and poster incorporating the Artwork, together with a precautions booklet in the form specified by NOA.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Services;

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services and which is specified as such in Schedule 6 (Third Party Software) to this Contract.
