Study Materials definition

Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.
Study Materials means all materials relating to the Property delivered by Seller, or any agent or representative of either Seller, to Purchaser, together with copies of all title reports, surveys, plans, documents, and reports or test results developed by Purchaser and/or its agents and contractors in connection with the Property.
Study Materials means any samples or materials (including chemical or biological) provided by ROCHE BIOSCIENCE to DELTAGEN under this Agreement for purposes of a Knockout Mice Project, including but not limited to drugs, compounds, genes, probes, formulations and other substances.

  • Having regard to any requirements to protect potentially commercially valuable Project IP and Intellectual Property in Study Materials, each Party grants to each other Party a non-exclusive, non-transferable, perpetual, royalty free, worldwide licence to use the Project IP and Intellectual Property in Study Materials they own for: non-commercial research, education and training purposes; and publication purposes (subject to clause 5 of this Agreement).

  • The Parties agree that all rights, title and interest in the Project Intellectual Property (except for copyright in a Student thesis) will be owned solely by the Party, or jointly by the Parties, that contribute to its development or creation, and that the Study Materials will be owned by the Sponsor of the Study, who will ensure that Intellectual Property in Study Materials developed or created at Study Sites is assigned to them.

  • The Participating Institution(s) grant or will procure the grant of a permanent, irrevocable, free, world-wide, non-exclusive licence (including the right to sub-license) to the Eligible Organisation to use, reproduce, communicate, modify and adapt any Project IP and Intellectual Property in Study Materials they own which is included in Research Material or Incorporated Material to satisfy clauses 10 and 13.5 of the Funding Agreement but for no other purpose.

  • The Sponsor of the Study agrees to enter into an agreement with each Study Site which governs the conduct of the Study at the Study Site and which enables the obligations under this Agreement to be met, including in relation to Intellectual Property in Study Materials.

Study Materials means, but is not limited to, Distance Learning Materials, CD Rom, Revision/Assessment/Tool Kit, Question Banks, Review Exercises, Mock Exams (papers and suggested solutions), Course Companions, Revision Companions, Combined Companions, Online Study Materials and Study Texts;
Study Materials is defined in Section 2.2.1.3.
Study Materials means all non-privileged, non-proprietary materials relating to the physical condition, maintenance, and leasing of the Property, including, without limitation, all Leases, rent rolls, plans and specifications, and income and expense statements for each MOB for the three (3) calendar years prior to the Agreement Date, delivered by Seller, or any agent or representative of Seller, to Purchaser, together with all title information, surveys, plans, documents, reports, studies, and test results developed, prepared or produced by or on behalf of Purchaser and/or its agents and contractors related to the Property.
Study Materials has the meaning set forth in Section 2.2.1.
Study Materials shall include all materials and documents provided to the Site for the Study including without limitation the Investigational Product, reagents and materials derived from Study Subjects enrolled in the Study, including, but not limited to, blood, bone marrow, sera, and other biological materials. Study Materials means the Study report and any data, information, or documentation acquired by Contractor from Sponsor or generated or developed by Contractor on behalf of the Sponsor during the Study whether written or physical, including without limitation, notebooks, original data, tissues, slides, samples, photographs, test materials, and electronic data disks or tapes. At such time as specified in Sponsor's request, or upon completion of the Study, Contractor will transmit the Study Materials to Sponsor. All raw data will be forwarded to the Sponsor with the final report. Contractor will maintain copies of the Study Materials (excluding test materials) in its archives for a period of two (2) years. In the event Contractor desires to dispose of Study Materials or, after the ten year retention period, the retained copies of the Study Materials, Contractor shall send Sponsor a letter requesting authorization for such disposal, and describing the manner of disposal. Contractor's obligation to store the Study Materials and raw data shall end upon the issuance of the final report, with the exception of copies of the Study Materials retained for archive purposes. During Contractor's period of retention, Sponsor shall have the right to have complete and full access to the Study Materials and raw data consistent with Section 7 hereof, and the right to duplicate such items for its use. Neither Sponsor nor Contractor will unreasonably withhold access by the other Study Materials or copies of the Study Materials if such access is required for validation of laboratory results or procedures to comply with a government regulatory agency request or applicable law.
