Scope of Products and Services and are reproduced below for convenience. Proposer may submit as Attachment I as part of its Proposal suggested service level components, measures for the performance of those components, and remedies that will be available in the event the expected levels of performance on those components are not met. The final SLA must be agreed to in its entirety between the Board and the successful Proposer and shall be incorporated and made a part of the final contract. The Board reserves the right to adjust priorities and the right to implement financial disincentives for failure to meet SLA performance measures, as well as financial incentives for exceeding SLA measures. The parameters and enforcement mechanisms of the KPIs/SLA shall be discussed during contract negotiation, approved by CPS, and shall be subject to change by the Board from time to time at its discretion. Due to the difficult nature of ascertaining and quantifying actual damages sustained by the Board, the Board and any awarded Proposer shall agree that the Board shall have the right to assess fixed liquidated damages (without waiver or exclusion of other remedies), and that such damages may be imposed as a reasonable measure of the Board’s damages and not as a penalty. The liquidated damages may take the form of a credit back to the Board. Below are base Sample Components for a Service Level Agreement for use in providing any comments that Proposer may have to the Board’s proposed SLA terms, as well as a version of Section E. Service Level Terms in Section II of this RFP - “Scope of Products and Services.”

Scope of Products and Services means a description of the products and/or services which will be the subject of the applicable contract.

  • Products and Services means the products and/or services to be sold by Vendor hereunder as identified and described on Attachment A hereto and incorporated herein, as may be updated from time to time by Vendor to reflect products and/or services offered by Vendor generally to its customers.

  • Licensed Services means all functions performed by the Licensed System.

  • the Products means all products and associated documentation to be supplied under this Contract;

  • Finished Services means complete end-to-end services offered by CenturyLink to wholesale customers or retail End User Customers. Finished Services do not include Unbundled Network Elements or combinations of Unbundled Network Elements.   • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.
