Business Products definition

Business Products means each of the products and services currently produced, manufactured, marketed, licensed, sold, furnished or distributed by the Debtor Companies which is related to the Business, other than Excluded Products.
Business Products means MUSE®, Seller’s FDA-approved pharmaceutical product consisting of the active ingredient alprostadil for the treatment of Erectile Dysfunction, and any variations and formulations of MUSE® made by Seller that contain alprostadil existing as of the Closing Date, and any applicators or other components developed by Seller for use specifically in connection therewith, including those set forth on Schedule 1.20.
Business Products means any and all products or services made, developed, manufactured, sold, licensed, leased, rendered, provided or delivered by (i) a Seller Entity within the scope of the Business, or (ii) an Acquired Entity, but, for the avoidance of doubt, specifically excludes products made, developed or sold within the scope of the Wolfspeed Business or any other Retained Business.

Examples of Business Products in a sentence

  • As used in this Agreement, “Acquisition Proposal” shall mean, other than the transactions contemplated by this Agreement, any offer, proposal or inquiry relating to, any acquisition or purchase, direct or indirect, of any portion of the Business or the Acquired Assets, other than the sale of Business Products or Excluded Assets, the disposition of Inventory and the disposition of other immaterial assets in the ordinary course of business.

  • All design, development and manufacturing operations performed by or on behalf of Seller or Seller Affiliates are being conducted in material compliance with the Quality Systems Regulations of FDA (21 C.F.R. Part 820) for Business Products sold in the U.S. and, to the extent applicable, counterpart Laws of all other jurisdictions where compliance is required.

  • The Business Products comply with each applicable warranty or other contractual commitment relating to the use, functionality, or performance of such Business Product or any product or system containing or used in conjunction with such Business Product.

  • Seller has made available to Buyer a complete and accurate listing of all product warranty claims related to the Business Products received and logged by Seller or any Seller Affiliates since January 1, 2021, including a listing of the resolution of such product warranty claims.

  • Seller and each Seller Affiliate is in material compliance with all applicable Laws relating to the maintenance, compilation and filing of reports, including Medical Device Reports (as defined in 21 CFR Part 803), with regard to the Business Products.


More Definitions of Business Products

Business Products means all of the products of the Business that have been or are currently sold, licensed, distributed or otherwise made available to customers, as applicable, including the Registered Products and any products currently under development or scheduled for commercial release within 180 days of the date of this Agreement or otherwise scheduled to be provided to customers.
Business Products has the meaning set forth in the APA.
Business Products means products made, developed or sold solely within the scope of the Business but, for the avoidance of doubt, specifically excludes products made, sold or developed within the scope of the Wolfspeed Business.
Business Products means products or services produced, sold or provided by the Business. “Buyer” shall have the meaning set forth in the first paragraph of this Agreement. “Buyer Basket” shall have the meaning set forth in Section 6.6(a).
Business Products means the Planned Products and the Released Products.
Business Products means all products that have been or are being designed, manufactured, promoted, distributed, marketed and/or sold by the Seller Affiliates exclusively in the conduct of the Business.
