Road Show Information means the information contained in any “road show” (as defined under Rule 433(h)(4) of the Securities Act of 1933, as amended) related to the offering of the Notes. Pursuant to Rule 15c6-1(d) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the Underwriters, the Seller and the Bank hereby agree that the “Closing Date” shall be [ ][ ], 20 , 10:00 a.m., New York City time (or at such other place and time on the same or other date as shall be agreed to in writing by the Representative and the Seller).
