At the request of Placement Agent, the Company shall deliver such legal letters (including, without limitation, negative assurance letters), opinions, in the forms attached to the Underwriting Agreement, comfort letters, officers’ and secretary certificates and good standing certificates, all in form and substance reasonably satisfactory to Placement Agent and its counsel as is customary for the Offering.
