Preprint Materials definition

Preprint Materials means, with respect to any item of Product, the original motion picture negative for such item of Product, the optical soundtrack negative for such item of Product, the magnetic soundtrack (consisting of separate mixed dialogue and separate mixed music and effects tracks) for such item of Product and/or such other materials as are necessary to duplicate such Product (including interpositives, negatives, duplicate negatives, internegatives, color reversals, intermediates, lavenders, fine grain master prints and matrices, and all other forms of preprint materials that may be necessary or useful to produce prints or other copies or additional preprint materials), whether now known or hereafter devised.
Preprint Materials means all physical elements of each Episode of the Series, including without limitation, any video digital recordings and HDTV format recordings and any and all other physical properties of every kind and nature relating to each Episode in whatever state of completion, and all duplicates, drafts, versions, variations and copies of each thereof.
Preprint Materials means all kinds and types of film picture and sound materials produced prior to the making of release prints, including camera-original image-bearing positive and negative black and white and color films, positive and negative intermediates, original sound to full-mixed tracks, edited A&B rolls, internegatives, interpositives, negatives, fine grains and archival master prints, duplicate negatives, color reversals, intermediates, lavenders, fine grain matrices, and all other forms of pre-print elements which may be necessary or useful to produce prints or other copies or additional pre-print elements, whether now known or hereafter devised, and/or (i) such other materials as are necessary for the representations and warranties in Section 5 of the Master Distributor Security Agreement to be true and correct in all material respects and/or (ii) such other materials as the Development Company, the Master Distributor, MVL and the Control Party may agree in writing are, due to technological developments occurring hereafter, necessary for the Master Distributor or respective Subdistributors fully to exercise and exploit all Distribution Rights with respect to the Completed Films from time to time.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.
