Ownership of Documents and Work Papers. If, through any cause, the Firm shall fail to fulfill, in a timely and proper manner, as determined by the District, its obligations under this contract, or if the Firm shall violate any of the covenants, agreements, or stipulations of this contract, the District, with the written consent of the Office of the State Auditor, shall thereupon have the right to terminate this contract by giving written notice to the Firm of such termination and specifying the effective date of such termination. However, prior to termination of this contract by the District, the District must provide written justification to the Office of the State Auditor documenting the reasons for requesting that the contract be terminated. The District must obtain written approval from the Office of the State Auditor prior to terminating the contract. Furthermore, the Firm should notify the Office of the State Auditor and the District as soon as possible if deadlines cannot be met. In the event the contract is terminated, all finished or unfinished working papers, tests, schedules, surveys, checklists, forms, manuals, letters, reports or other materials prepared by the Firm under this contract shall become the property of the District, and the Firm shall be entitled to receive just and equitable compensation for all satisfactory work completed on such documents and other materials.

The Owner shall own all documents, files, reports, work papers and working documentation, electronic or otherwise, created in connection with the Project which is the subject of this Agreement, except for the Professional’s internal administrative and quality assurance files and internal project correspondence. The Professional shall deliver such documents and work papers to the Owner upon termination or completion of the Agreement. The foregoing notwithstanding, the Professional shall be entitled to retain a set of such work papers for its files. Professional shall be entitled to use such work papers only after receiving written permission from the Owner and subject to any copyright protections.

The foregoing notwithstanding, Contractor shall be entitled to retain a set of such work papers for its files. Contractor shall be entitled to use such work papers only after receiving written permission from MDRS and subject to any copyright protections. Additionally, Contractor assures that any and all information regarding clients of MDRS will be kept strictly confidential pursuant to 34 CFR 361.38 and will become the property of MDRS. Contractor assures that MDRS shall have full access to all information collected. The Contractor is prohibited from use of the above described information and/or materials without the express written approval of MDRS. Paper documents containing Personally Identifiable Information must be destroyed by burning, pulping, shredding, macerating, or other similar means that ensures the information cannot be recovered. If there are electronic devices and media (for example, computers, disk drives, CD’s, Jump/Flash drives, magnetic tape, etc.) that need to be disposed of, please contact MDRS for further guidance on approved methods on destroying electronic devices and related media.

Rights to initial publication, formal release or other disclosure of data generated from these services will be retained by MSU. Results of this investigation are not to be published by the SPONSOR or others before publication by MSU except by written permission from MSU.

The HWM Vendor shall be entitled to use such work papers only after receiving written permission from DFA and subject to any copyright protections. If the material is qualified for copyright, the HWM Vendor may copyright such material, with approval of DFA, but DFA shall reserve a royalty-free, non-exclusive, and irrevocable license to reproduce, publish, and use such materials, in whole or in part, and to authorize others to do so.
