Manufacturing Instructions definition

Manufacturing Instructions means those manufacturing, packaging and Labeling specifications for the Products used by or on behalf of a Seller or any Affiliate of any Seller in the production and supply of the Products, including the formulae and materials that are reasonably required or used for the manufacture, quality control, release and stability testing of the Products by or on behalf of a Seller or any Affiliate of any Seller immediately prior to the Closing.
Manufacturing Instructions means the document compiled by Lonza and approved by Customer, which defines the manufacturing methods, test methods and other procedures, directions and controls associated with the manufacture and testing of Product.
Manufacturing Instructions means the protocols for manufacturing the Product and all amendments thereto, to be developed pursuant to this Agreement and to be agreed upon between the Parties.

  • If the Detailed Manufacturing Instructions are found to be inaccurate or incomplete, Supplier shall supplement the Detailed Manufacturing Instructions within twenty (20) Business Days to restore accuracy and completeness, and Supplier shall bear the cost and expense of supplementing the Detailed Manufacturing Instructions.

  • Supplier shall enter into an escrow agreement (“Escrow Agreement”) with a mutually agreeable escrow agent (“Escrow Agent”), such Escrow Agreement providing for the deposit of one complete copy of the Detailed Manufacturing Instructions.

  • Except as otherwise stated herein, all costs and expenses associated with the escrow of the Detailed Manufacturing Instructions, including the costs of the Escrow Agent, shall be paid by Supplier.


More Definitions of Manufacturing Instructions

Manufacturing Instructions means the manufacturing instructions prepared by Leica on behalf of GenMark, for the manufacture of the Products, as such may be amended from time to time by written agreement of Leica and GenMark.
Manufacturing Instructions means the manufacturing instructions prepared by the parties on behalf of GenMark, for the manufacture of the Products, as the same may be amended from time to time by written agreement of the parties during the term of this Agreement.
Manufacturing Instructions means the technology, trade secrets, know-how and other proprietary information and other information used for the manufacture, packaging, release testing, validation, stability and shelf life of Licensed Products that are in existence and in the possession of, under the control of, or accessible to, ELLEVAN as of the date of this Agreement, including, without limitation, all (i) current manufacturing processes, (ii) current test methods, (iii) current specifications for raw materials, (iii) current manufacturing and packaging instructions, (iv) the most recently available chemical, pharmacological, toxicological, safety, quality control and clinical data, (iv) current master formulae, (v) validation reports, (vi) stability data, (vii) analytical methods, (viii) records of complaints from the twenty-four (24) month period ending as of the date of this Agreement, (ix) annual product reviews from the prior twenty four (24) months, and (x) other master documents necessary for the manufacture, control and release of Licensed Products as conducted by, or on behalf of, ELLEVAN.
Manufacturing Instructions means the documentation of the Manufacturing process and applicable standard operating procedures which must be followed by Medeva in the [ * ] = CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY BRACKETS, HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24B-2 OF THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED.
Manufacturing Instructions has the meaning set forth in Section 7.7(a).
Manufacturing Instructions means the documentation setting out in comprehensive form the entire process for manufacturing the UV Treatment Systems which shall provide sufficient instruction for a person reasonably skilled in the industry to manufacture the UV Treatment Systems.
