IBM Proprietary Software definition

IBM Proprietary Software means the Software owned or developed by or on behalf of IBM that is used in connection with the Services.
IBM Proprietary Software means Software and related Documentation: (1) developed and owned by IBM, or (2) developed by a third party for, and owned by IBM, which is used for the performance of the Services.
IBM Proprietary Software means all the Software and Related Documentation owned or developed by or on behalf of IBM identified in the SOW as to be used in connection with the Covered Services and any additional Software and Related Documentation owned or developed by or on behalf of IBM that the Parties may mutually agree from time to time be used in connection with the Covered Services; and does not include any Developed AMO Software.

Party Tools or non-commercial IBM Proprietary Software, EMW may, at its option, (y) request IBM to identify a commercially functional alternative or (z) attempt to negotiate terms for EMW with respect to the issues listed in (a), (b), (c) or (d) above, as may be applicable.

Upon AMO’s request, IBM shall provide AMO with a list of all IBM Proprietary Software and all IBM Third Party Software being used to provide the Covered Services as of the date of such request.

IBM Proprietary Software means all IBM owned software and associated documentation used by IBM to deliver the Services, including the IBM Commercial Proprietary Software and the IBM Non-Commercial Proprietary Software.

Related to IBM Proprietary Software

Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.
Company Proprietary Software means all Software owned by the Company.
Supplier Software means the means any software identified as such in the Order Form together with all other software which is not listed in the Order Form but which is or will be used by the Supplier or any Sub-Contractor for the purposes of providing the Goods and/or Services or is embedded in and in respect of such other software as required to be licensed in order for the Customer to receive the benefit of and/or make use of the Goods and/or Services;
Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.
Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.
Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.
Font Software refers to the set of files released by the Copyright Holder(s) under this license and clearly marked as such. This may include source files, build scripts and documentation.
Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;
Business Software means with respect to a Licensor, all Software (to the extent Controlled by such Licensor or any member of its Group as of the Effective Date), including all Know-How and Copyrights therein (but not in respect of any data included in any databases), that is used or held for use in, as of the Effective Date, the conduct of (i) the Spinco Business if the Licensee is Spinco, or (ii) the Remainco Business if the Licensee is Remainco, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee or any member of its Group have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
Embedded Software means one or more software applications which permanently reside on a computing device.
Company Software means the Company Licensed Software and the Company Proprietary Software.
Vendor Software is used with respect to Manager, it means only the Software, and not the software used only by Sprint PCS).
Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).
Subject Software means the Original Software or Modifications or the combination of the Original Software and Modifications, or portions of any of the foregoing.
Seller Software means any software (including firmware and other software embedded in hardware devices) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by the Seller at any time (other than non-customized third-party software licensed to the Seller for internal use on a non-exclusive basis).
SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.
System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.
Covered Software means (a) the Original Software, or (b) Modifications, or (c) the combination of files containing Original Software with files containing Modifications, in each case including portions thereof.
Server Software means software that provides services or functionality on a computer acting as a server.
Custom Software means Software developed as a Deliverable or in connection with the Agreement.
Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.
Developed Software means those computer software products that are developed by or through the use of the SOFTWARE. "Developed Web Server Software" means those Developed Software products that reside logically or physically on at least one Web Server and are operated (meaning the computer software instruction set is carried out) by the Web Server's central processing unit(s) (CPU). "Developed Legacy Software" means those Developed Software products that are not Developed Web Server Software, including, for example, stand-alone applications and applications accessed by a file server only. "Redistributable Files" means the SOFTWARE files or other portions of the SOFTWARE that are provided by C1 and are identified as such in the Documentation for distribution by you with the Developed Software. "Developer" means a human being or any other automated device using the SOFTWARE in accordance with the terms and conditions of this EULA.
Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.
Owned Software has the meaning specified in Section 5.11(g).
Hosted Software means Samsara’s web-based software platform, including the interface accessed online at cloud.samsara.com.
Open Source Software License means the terms or conditions under which the Open Source Software is licensed.
