HSR Act Clearance definition

HSR Act Clearance means expiration of all applicable waiting periods under the HSR Act or earlier termination thereof, including any voluntary agreed extensions;
HSR Act Clearance means (a) the waiting period (and any extension thereof) applicable to the consummation of the Transaction under the HSR Act has expired or been terminated and (b) any timing agreement(s) with the Federal Trade Commission and/or the Antitrust Division of the Department of Justice pursuant to the HSR Act applicable to the consummation of the Transaction (if any) has expired or otherwise does not prohibit consummation of the Transaction.
HSR Act Clearance means that an early termination shall have been granted or any waiting periods applicable to the consummation of the transactions contemplated hereby under the HSR Act shall have expired or been terminated following filing of a Notification and Report Form.

HSR Act Clearance means the expiration or early termination of all applicable waiting periods under the HSR Act and implementing regulations. IPIC and the Company shall not extend, directly or indirectly, any waiting periods under the HSR Act or enter into any agreement with the U.S. Federal Trade Commission and/or the U.S. Department of Justice to delay or not to consummate the transactions contemplated hereby, except with the prior written consent of the other party to the Arrangement Agreement.
