HSR Clearance definition

HSR Clearance means, as pertaining to this Agreement, the expiration or termination of all applicable waiting periods and requests for information (and any extensions thereof) under the HSR Act.
HSR Clearance means either (a) early termination of the applicable waiting period under the HSR Act with respect to the HSR Filings or (b) expiration of the applicable waiting period under the HSR Act with respect to the HSR Filings.
HSR Clearance means that the applicable waiting period (including any extension thereof) pursuant to the HSR Act shall have expired or been terminated.

  • Notwithstanding the foregoing, a failure to comply with the provisions of paragraph 10 shall not be deemed to be a Material Breach by PM unless, nine months following the initial HSR filings, as a direct or indirect result of such failure, HSR Clearance has not been obtained or the government has commenced litigation to enjoin the transaction.

  • In addition, in the event that HSR Clearance is not obtained, PM shall, upon the request of the Liggett Parties, attempt periodically to obtain such approval, provided, that PM shall not be required to attempt to obtain any such approval more than once in any two-year period or more than four times over the period of the Options.

  • Notwithstanding the foregoing, a failure to comply with the provisions of paragraph 10 shall not be deemed to be a Material Breach by the Liggett Parties unless, nine months following the initial HSR filings, as a direct or indirect result of such failure, either (i) HSR Clearance has not been obtained or the government has commenced litigation to enjoin the transaction or (ii) PM has had to make a material concession to the government to obtain HSR Clearance or avoid such litigation.

  • If Spark reasonably determines in good faith prior to the exercise of an Option for a Potential Target that the exercise of such Option requires HSR Clearance under the HSR Act, Spark shall provide written notice of such determination to Selecta in its notice of exercise such Option for such Potential Target.

  • If the exercise by Spark of any Option requires the making of filings under the HSR Act, then all rights and obligations related to the exercise of such Option for the applicable Potential Target (including payment of any Option Exercise Payment) shall be tolled until HSR Clearance for such Option exercise.


More Definitions of HSR Clearance

HSR Clearance means all applicable waiting periods under the HSR Act with respect to the transactions contemplated under this Agreement have expired or have been terminated.
HSR Clearance the expiration or termination of any waiting period under the HSR Act in respect of the Transactions;
HSR Clearance means the earlier of (a) notification to the Parties from the FTC or DOJ of early termination of the applicable waiting period under the HSR Act with respect to the HSR Filings, or (b) expiration of the applicable waiting period under the HSR Act with respect to the HSR Filings; provided, however, that if the FTC or DOJ shall commence any investigation by means of a second request or otherwise, HSR Clearance means the termination of such investigation, without action to prevent the Parties from implementing the transactions contemplated by this Agreement with respect to the United States.
HSR Clearance shall have the meaning set forth in Section 6.02(a).
HSR Clearance means the expiration or termination of the applicable waiting period under the HSR Act (including any extended waiting period arising as a result of a request for additional information).
HSR Clearance has the meaning set forth in Section 5.1(b)(i).
HSR Clearance means, with respect to (a) the Options and Research Targets and (b) each ROFN Target and corresponding ROFN Terms, as applicable, the expiration or termination of all applicable waiting periods and requests for information (and any extensions thereof) under the HSR Act.
