Employees’ Tax definition

Employees’ Tax means the tax required to be deducted or withheld by an employer in terms of paragraph 2 from remuneration paid or payable to an employee;

"Empowerment Period" means a period expiring on the earlier of:1.3.35.1. the 10th (tenth) anniversary of the Effective Date; and1.3.35.2. the later of the date on which:1.3.35.2.1. the preference shares issued by Sasol Khanyisa FundCo to Sasol have been fully redeemed and all accumulated dividends thereon have been fully paid; or1.3.35.2.2. the Automatic Repurchase has been implemented to its fullest extent, if applicable,unless Sasol otherwise determines that this clause 1.3.35.2 shall not apply, or determines to extend the period beyond the settlement of the preference shares issued by Sasol Khanyisa FundCo to Sasol, or the implementation of the Automatic Repurchase to its fullest extent, whichever may be applicable, to a date selected by Sasol, but which date shall not be after the date in clause 1.3.35.1,or such shorter period as may be determined by Sasol in its sole discretion;
Employees’ Tax means employees’ tax payable by the Company or relevant Employer Company in terms of the Income Tax Act or any similar payroll Tax payable by or on behalf of a Participant to the relevant Revenue Authority;

Examples of Employees’ Tax in a sentence

  • The Employer Company will instruct the Broker to sell a sufficient number of the Shares from the Participant’s Brokerage Account to cover the Participant’s Employees’ Tax liability and to remit the proceeds to the account stipulated by the Employer Company, who will pay the Employees’ Tax to the relevant tax authority (unless the Participant tenders the cash amount of the Employees’ Tax to the Employer Company in advance).

  • Notwithstanding the foregoing, Remco may also provide that, or permit the Participant to elect that, a number of Shares with a fair market value equal to the Employees’ Tax incurred in connection with an Exercise will be retained by the Company and not delivered to the Participant in order to satisfy such Employees’ Tax.

  • The Participant shall be liable for all Employees’ Tax payable as a result of benefits due to him in terms of the DSP.

  • The Participant agrees that the Broker is entitled to sell the Shares, or that the Company is entitled to withhold Shares, as applicable, to discharge the Employees’ Tax payable as a result of benefits due to him in terms of the DSP in accordance with the provisions of this clause 15.

More Definitions of Employees’ Tax

Employees’ Tax means employees’ tax as contemplated in the Fourth Schedule of the Income Tax Act, or otherwise;

Employees’ Tax advisor shall jointly designate a nationally recognized public accounting firm, which shall make the determination. All fees and expenses of the accountants and tax advisors retained by either EMPLOYEE or THE COMPANY shall be borne by THE COMPANY. Any Excise Tax Gross-Up Payment, as determined pursuant to this Section 8.8, with respect to a Payment shall be paid by THE COMPANY to EMPLOYEE at such time as EMPLOYEE is entitled to receive the Payment. Any determination by a jointly designated public accounting firm shall be binding upon THE COMPANY and EMPLOYEE.

Related to Employees’ Tax

  • Employment Tax means any Tax the liability or responsibility for which is allocated pursuant to the Employee Matters Agreement.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Employment Taxes means all fees, Taxes, social insurance payments or similar contributions to a fund of a Governmental Authority with respect to wages or other compensation of an employee or other service provider.

  • Covered employment means employment in a covered position.

  • Part-time employment means any employment or combination of one or more employments in a civil division in which an individual works fifty percent (50%) or less of the time prescribed as the standard work week by the governing body or other appropriate authority of the civil division or where the employee earns not more than one-half (1/2) of the rate assigned to the position if the position has been allocated to a graded salary schedule.

  • Unemployment compensation means cash benefits (including depend- ents’ allowances) payable to individ- uals with respect to their unemploy- ment, and includes regular, additional, emergency, and extended compensa- tion.(2) Regular compensation means unem- ployment compensation payable to an individual under any State law, but not including additional compensation or extended compensation.(3) Additional compensation means un- employment compensation totally fi- nanced by a State and payable under a State law by reason of conditions of high unemployment or by reason of other special factors.(4) Emergency compensation means supplementary unemployment com- pensation payable under a temporary Federal law after exhaustion of regular and extended compensation.(5) Extended compensation means un- employment compensation payable to an individual for weeks of unemploy- ment in an extended benefit period, under those provisions of a State law which satisfy the requirements of the Federal-State Extended Unemploy- ment Compensation Act of 1970, as amended, 26 U.S.C. 3304 note, and part 615 of this chapter, with respect to the payment of extended compensation.

  • Earned Compensation means any Annual Base Salary earned, but unpaid, for services rendered to the Company on or prior to the date on which the Employment Period ends pursuant to Section 3(a) (but excluding any salary and interest accrued thereon payment of which has been deferred).

  • Ceased employment means anyone who has exited the organisation for whatever reason, including resignations, redundancies and dismissals.

  • Self-employment shall be where a Claimant sets up his/her own business and is responsible for paying his/her tax and National Insurance.

  • Gainful employment means paid employment for not less than 30 hours in each week for a period of not less than 12 months;

  • employment zone means an area within Great Britain designated for the purposes of section 60 of the Welfare Reform and Pensions Act 1999 and an “employment zone programme” means a programme established for such an area or areas designed to assist claimants for a jobseeker’s allowance to obtain sustainable employment;

  • Employment benefits means all benefits provided or made

  • School employee means (1) a teacher, substitute teacher, school administrator, school superintendent, guidance counselor, psychologist, social worker, nurse, physician, school paraprofessional or coach employed by a local or regional board of education or working in a public elementary, middle or high school; or (2) any other individual who, in the performance of his or her duties, has regular contact with students and who provides services to or on behalf of students enrolled in a public elementary, middle or high school, pursuant to a contract with the local or regional board of education.

  • Seasonal employment means the employment of 1 or more individuals primarily hired to perform services during regularly recurring periods of 26 weeks or less in any 52-week period other than services in the construction industry.

  • Covered Compensation means any Incentive-Based Compensation granted, vested or paid to a person who served as an Executive Officer at any time during the performance period for the Incentive-Based Compensation and that was Received (i) on or after October 2, 2023 (the effective date of the Nasdaq listing standards), (ii) after the person became an Executive Officer, and (iii) at a time that the Company had a class of securities listed on a national securities exchange or a national securities association such as Nasdaq.

  • Aggrieved Employee means all current and former hourly-paid or non-exempt employees of Defendant within the State of California at any time during the PAGA Period.

  • Goods and Services Tax (Compensation to States) Act means the Goods and Services Tax (Compensation to States) Act, 2017;

  • Employee means an employee of the Contractor directly engaged in the performance of work under the contract who has other than a minimal impact or involvement in contract performance.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Qualified employment position means a permanent full-time

  • Other employee means an individual employed by a primary owner who is not authorized to provide proposition player services. “Other employee” does not include any owner, any supervisor, or any officer or director of a primary owner that is a corporation. An individual registered or licensed as an “other employee” may not function as a player unless and until that individual applies for and obtains registration or licensure as a player.

  • Part-time employee means an employee who is normally required to work less than the basic hours of work.

  • Non-Key Employee means any Employee who is not a Key Employee.

  • Active Employment means you must be actively at work for the Sponsor:

  • Service employee, means any person engaged in the performance of this contract other than any person employed in a bona fide executive, administrative, or professional capacity, as these terms are defined in Part 541 of Title 29, Code of Federal Regulations, as revised. It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.
