Active Employment definition

Active Employment means you must be actively at work for the Sponsor:

Examples of Active Employment in a sentence

  • If your Active Employment with the Company and/or its subsidiaries ends due to death or Disability, all of the Awarded Performance RSUs not previously vested or forfeited will vest on the Termination of Service Date.

  • In addition, if your Active Employment with the Company and/or its subsidiaries ends as a result of a termination by the Company other than for “Cause”, then the Committee may, in its discretion, vest, on the Termination of Service Date, Awarded Time-Vesting RSUs not previously vested or forfeited.

  • If your Active Employment with the Company and/or its subsidiaries ends due to death or Disability, all of the Awarded Time-Vesting RSUs not previously vested or forfeited will vest on the Termination of Service Date.

For purposes of this Plan, except as may be required to comply with minimum requirements of applicable employment standards legislation, a Participant is not Actively Employed if his or her employment has been terminated by the Participant’s resignation or retirement or by the Corporation or any subsidiary, regardless of whether the Participant’s employment has been terminated with or without cause, lawfully or unlawfully or with or without notice, and, except as may be required by minimum requirements of applicable employment standards legislation, being Actively Employed does not include any period during, or in respect of, which a Participant is receiving or is entitled to receive payments in lieu of notice (whether by way of lump sum or salary continuance), benefits continuance, severance pay, damages for wrongful dismissal or other termination related payments or benefits, in each case, whether pursuant to statute, contract, common law, civil law or otherwise;
Active Employment means active continuous attendance by a Member to normal duties as an Employee of an Employer, and “Actively Employed” has a corresponding meaning.
