Comparison Companies definition

Comparison Companies means Aon plc (AON), Automatic Data Processing, Inc. (ADP), Cap Gemini S.A. (CAP), Cisco Systems, Inc. (CSCO), Cognizant Technology Solutions Corporation (CTSH), DXC Technology Company (DXC), General Dynamics Corporation (GD), Hewlett Packard Enterprise Company (HPE), Infosys Limited (INFY), Intel Corporation (INTC), International Business Machines Corporation (IBM), Xxxxx & XxXxxxxx Companies, Inc. (MMC), Microsoft Corporation (MSFT), Oracle Corporation (ORCL), SAP SE (SAP) and the S&P 500 Total Return Index (SPX); and (ii) the “Fair Market Value” of (A) a share of stock of a company on a given date shall mean the average of the high and low trading price of the stock of the company, as reported on the principal exchange on which the stock of such company is traded (or, if the stock is not traded on an exchange but is quoted on Nasdaq or a successor quotation system, the average of the mean between the closing representative bid and asked prices for the stock) and (B) for the S&P 500 Total Return Index on a given date shall mean the average of the high and low values for such index as reported in the Wall Street Journal (or, if the S&P 500 Total Return Index is not reported in the Wall Street Journal, in such other reliable source as the Company may determine), in each case for the ten (10) consecutive trading days immediately preceding such date.
Comparison Companies means each Peer Group Company as of the last day of the Performance Period; provided, however, that such company has continuously been a publicly listed company on a national securities exchange or quotation service during the Performance Period.

Examples of Comparison Companies in a sentence

  • The Total Shareholder Return of the Company and of the Comparison Companies shall be calculated and certified by the Committee.

  • The Corporation’s total shareholder return will then be ranked in terms of which percentile it would have placed in among the Comparison Companies.

  • Such averages for each such company (including the Corporation) shall be referred to herein as the “Beginning Average Value” and the “Ending Average Value.” As soon as practicable after the completion of the Performance Cycle, the total shareholder returns of the Comparison Companies will be calculated and ranked from highest to lowest.

  • As soon as practicable after the completion of the Performance Cycle, the Total Shareholder Returns of the Corporation and each of the Comparison Companies shall be calculated and ranked from first to last (the “TSR Ranking”).

  • Except as provided in Section 5, the Performance Shares covered by the Award shall be deemed earned based on where the Corporation’s total shareholder return during the Performance Cycle ranks in relation to the total shareholder returns of the Comparison Companies during such period.


More Definitions of Comparison Companies

Comparison Companies means each component company of the OSX Index as of September 30, 2022, provided that such company is continuously a publicly traded company on a national securities exchange during the full Performance Period. Notwithstanding the foregoing, if any component company of the OSX Index as of September 30, 2022 ceases to be a publicly traded company on a national securities exchange as a result of such company’s bankruptcy during the third year of the Performance Period, such component company will included at the bottom of the ranking provided for under Section 2(ii) of this Schedule I.
Comparison Companies means Compagnie Generale de Geophysique – Veritas, Xxxxxx Geophysical Co., Geospace Technologies Corp., ION Geophysical Corp., Mitcham Industries Inc. and TGC Industries Inc; provided, however, that the Committee may modify the list of Comparison Companies if a Comparison Company is no longer, in the Committee’s discretion, a reasonable comparison to the Company (e.g., due to merger, bankruptcy or other change of circumstance of a Comparison Company).
Comparison Companies means a set of peer companies companies, determined by the Committee at the beginning of a Performance Period, as updated on Appendix C on an annual basis; provided that 1) such company has continuously been a publicly traded company on a national securities exchange during the Performance Period and 2) if a company becomes bankrupt during the year, such company will remain on the list but shall be deemed the bottom performer.

Comparison Companies means the S&P Oil and Gas Exploration & Production Select Industry Index.

If a Peer Group company files for bankruptcy protection during the Performance Period, such company shall be deemed to have a TSR of negative 100%.
