Client Improvements definition

Client Improvements means any improvement, modification, or enhancement of the Client Confidential Information (as defined in Section 5 below), Client Intellectual Property or Work Product made by either party during the Collaboration, collectively with the Intellectual Property embodied therein.

Client Improvements means improvements made independently by Client (including further optimization by Client) to a cell culture medium provided by Provider to Client hereunder. Client Improvements means any designs, inventions, discoveries, innovations, methods, improvements, processes, know-how, or techniques, whether patentable or copyrightable or not, to the Client Background IP arising out of the performance of services under this Agreement by Ology Bio and/or any use of either Client Intellectual Property and/or the BDS and in any case directly (i) pertaining to the chemical structure of Product, the BDS or (ii) require the use of Product and/or the BDS. For the avoidance of doubt, Client Improvements shall not include Ology Bio Background IP or Process Inventions or Ology Bio Improvements, as defined below.

Examples of Client Improvements in a sentence

  • Schrödinger will assign and does hereby assign all right title and interest in and to all Work Product and Client Improvements, and will promptly disclose to Client all Work Product and Client Improvements.

  • Schrödinger agrees to waive, and hereby does waive, all moral rights or proprietary rights in or to any Work Product and Client Improvements and, to the extent that such rights may not be waived, agrees not to assert such rights against Client or its licensees, successors or assigns.

  • As between Client and Schrödinger, Client shall own all right, title, and interest in the Client Confidential Information, Work Product, Client Intellectual Property, and any Client Improvements.

  • Notwithstanding anything to the contrary herein, the parties hereto acknowledge and agree that Client shall be under no obligation to retain MATC Celular to supervise the installation of Client Improvements and Equipment at a Third Party Existing Site (as further described as the Site Construction Milestone in Paragraph 1 of Exhibit F) under the terms and conditions of this Agreement and that Client shall be free to perform such services for itself or to retain a third party to do so.

  • The Parties agree that all rights, title and interest in and to any Client Improvements shall be owned by Client.

Related to Client Improvements

  • Project Improvements means site improvements and facilities that are:

  • Tenant Improvements Defined in Exhibit B, if any.

  • Joint Improvements means Improvements the inventors of which are jointly (a) employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) employees of, or others obligated to assign inventions to, Lilly or any Affiliate of Lilly.

  • Minimum Improvements means the acquisition of land and construction of a 64-unit market rate residential apartment building and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Tenant Improvement Work means the construction of the Tenant Improvements, together with any related work (including demolition) that is necessary to construct the Tenant Improvements.

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Home improvement means the remodeling, altering,

  • Public Improvements means only the following improvements: housing facilities; garbage disposal plants; rubbish disposal plants; incinerators; transportation systems, including plants, works, instrumentalities, and properties used or useful in connection with those systems; sewage disposal systems, including sanitary sewers, combined sanitary and storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of sewage or industrial wastes; storm water systems, including storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of storm water; water supply systems, including plants, works, instrumentalities, and properties used or useful in connection with obtaining a water supply, the treatment of water, or the distribution of water; utility systems for supplying light, heat, or power, including plants, works, instrumentalities, and properties used or useful in connection with those systems; approved cable television systems, approved cable communication systems, or telephone systems, including plants, works,

  • Improvements shall have the meaning set forth in the granting clause of the Mortgage.

  • piece-work means any work the pay for which is estimated by the amount of work performed irrespective of the time occupied in its performance;

  • Home improvement contractor or "contractor" means a person who sells goods and services, or agrees to furnish or render services, to a retail buyer pursuant to a home improvement installment contract, or sells goods and services to a retail buyer pursuant to a home improvement charge agreement, but not in connection with construction of new homes.

  • Project Work means the work required to complete the Project.

  • Installation Work means the construction and installation of the System and the Start-up, testing and acceptance (but not the operation and maintenance) thereof; all performed by or for the Power Producer at the Premises.

  • Work/ works means work / works to be executed in accordance with the contract.

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Demolition works means any physical activity to tear down or break up a structure (or part thereof) or surface, or the like, and includes the loading of demolition waste and the unloading of plant or machinery.

  • audiovisual work means a work that consists of a series of related images which impart the impression of motion, with or without accompanying sounds, susceptible of being made visible and, where accompanied by sounds, susceptible of being made audible;

  • Installation Works means, as the context so requires,

  • Maximum medical improvement means that no further material improvement would reasonably be expected from medical treatment or the passage of time;

  • The Works/Project means the works to be executed or done under this contract.
