Budget and Operating Plan definition

Budget and Operating Plan means the Pro Forma 2008 Forecast P&L, Cash Flow and Expense Summary contained in Section 8.8 of the ▇▇▇▇▇ Disclosure Schedule.
Budget and Operating Plan means collectively, the annual budget and the operating plan for the Companies and the Subsidiaries as approved by the Purchaser and the Sellers.

Budget and Operating Plan means the budget and operating plan attached hereto as Exhibit B for the operation of the Company and the Company Subsidiaries from the date hereof until the Closing Date as may be amended from time to time by the Company with the express prior written consent of the Buyer, which Budget and Operating Plan also includes a statement of a separate operational cash flow.
