Disclosure Schedule Clause Samples

A Disclosure Schedule is an attachment to a contract, typically used in mergers and acquisitions, that lists exceptions or qualifications to the representations and warranties made by a party. It provides detailed information about specific matters such as pending litigation, intellectual property, or contracts that might otherwise breach the general statements in the agreement. By itemizing these exceptions, the Disclosure Schedule ensures transparency and helps allocate risk by clarifying which issues are known and accepted by both parties at the time of signing.
