The Project Plan. 1. The Project must be based on the following: a) a Project Plan which at least sets out how the requirements of these Supplementary Conditions are met, including requirements related to state aid legislation; b) a budget and business case for the Project. 2. Before the project applicant can actually implement a Project, he must submit the Project Plan to Regiofonds Brainport BV for approval. This is required because Regiofonds Brainport BV considers its useful to assess the business case in the context of government aid before the implementation of the Project starts.
The Project Plan. Upon completion of the work by the engineering firm, which is expected to be completed prior to July 31, 2001, J▇▇▇▇▇▇ and ACTII shall meet to review the plans, budget and timetable for completion of the Project, determine the actions to be taken by each of the parties and to finalize the plans, budget and timetable for the Project (the "Project Plan"). The Project Plan, including the budget, must be amended by mutual agreement of the parties (after consultation with the Global Supply Team (defined in Section 5.2)) if the change impacts the timeline, capacity or budget with respect to the Product. At any time the parties amend the budget included in the Project Plan, a corresponding amendment to the Guarantee Cap (defined in Section 3.2) shall also be made.
The Project Plan. The project plan for the Research Project ("Project Plan") shall contain a plan for research and development efforts, and a mutually acceptable budget for such efforts ("Project Budget"). The Project Plan, as revised from time to time by mutual agreement of the parties, shall be attached hereto as Exhibit A. The parties shall mutually assess the Project Budget on an ongoing basis, and shall agree upon and update the Project Budget quarterly.
The Project Plan. The preliminary specifications of Collaboration Products to be Commercialized during the Commercialization Phase are set forth in Exhibit B, and the activities to be undertaken by the Parties directed at the development and Commercialization thereof shall be described in a mutually agreed Project Plan, the initial description of which is set forth in Exhibit A. The Parties shall diligently and in good faith work to amend and finalize a detailed Project Plan and Specifications within [***] of the Effective Date and append the same to Exhibits A and B, respectively. Both Parties will use commercially reasonable efforts to achieve first commercial release of the Genotyping Arrays within one year from the Effective Date. The minimum commitments of resources and personnel for development of such Collaboration Products will be specified in the Project Plan. The Project Plan and Specifications may be modified from time to time in accordance with the mutual agreement of the Parties, with such modified Project Plan and Specifications to be appended to Exhibits A and B, respectively. The Parties shall use reasonable efforts and shall advise and consult with each other to ensure that the Specifications of Collaboration Products reflect not only desirable design attributes, form, fit and function but also, where reasonably possible, design around valid Third Party patent rights that may otherwise cover such Collaboration Products.
The Project Plan a) Both Parties will develop and agree a Project Plan with the appropriate level of detail for the Services to be provided: i. where required both Parties will hold meetings and workshops so that we get a clearer understanding of your needs, and you get a clearer picture of our proposed solution. These meetings and workshops will give us the information we need to create a detailed specification for the Project Outcome, and build the Project Plan that will achieve the Project Outcome; ii. we will give you a draft Scope of Work containing a Project Plan as soon as is reasonably practical; iii. both Parties will use their best endeavours to agree a draft Project Plan that they believe will achieve the Project Outcome, and to make sure that the Project Plan is agreed in a collaborative way; and iv. the agreed, signed ▇▇▇▇▇ of Work will incorporate the Project Plan and the Project Plan will become section 3.2 of this Agreement. b) The Project Plan in a Scope of Work can only be updated if the changes are made according to 2.6 (‘How to change the Agreement or the Scope of Work’), 2.11.8
