This Section 5.1(c), including the amount of the Bonus Pool, may be amended by the written agreement of all the Parties hereto (or their successors in interest, if applicable).
If such condition is met during an applicable calendar year, the Bonus Pool shall be an amount equal to a portion of the Company’s revenue for such calendar year to the extent necessary to reduce the Company’s annualized EBITDA margin for such calendar year to thirty-five percent (35%).
The Bonus Pool shall be paid out in accordance with the Company’s compensation policies in effect from time to time.
