Target Bonus Amount definition

Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).
Target Bonus Amount means, with respect to any Year, the Participant’s target Bonus for such Year based upon the Company’s forecasted operational plan.
Target Bonus Amount shall have the meaning set forth in Section 5(c) of this Agreement.

Examples of Target Bonus Amount in a sentence

  • Your annual bonus for each calendar year during the period of your employment with the Company will be paid no later than March 15 of the following calendar year, if you are employed on the payment date, in the amount of your Target Bonus Amount for the Annual Period beginning in such calendar year, and there will be no performance metrics applicable to your annual bonus.

  • For purposes of this Amendment, “Target Bonus Amount” means (i) $1,400,000 for the Annual Period beginning March 16, 2023; (ii) $1,470,000 for the Annual Period beginning March 16, 2024; (iii) $1,543,500 for the Annual Period beginning March 16, 2025; and (iv) for each Annual Period thereafter, an amount equal to 105% of the Target Bonus Amount for the immediately preceding Annual Period.


More Definitions of Target Bonus Amount

Target Bonus Amount means, for any fiscal year, an amount equal to one hundred percent (100.0%) of the Annual Salary for such fiscal year. EXHIBIT C
Target Bonus Amount means, with respect to a Participant, the Participant’s target annual performance bonus amount, if any, in effect at the time of the Participant’s Qualifying Termination, disregarding for this purpose any decrease in target annual performance bonus that provides a basis for Good Reason.
Target Bonus Amount means the greater of (I) the Target Bonus for the year of termination, or (II) the average of the Annual Bonus payable in the three full calendar years prior to termination, or such shorter period if Executive has not been employed for three full calendar years.
Target Bonus Amount means, with respect to any Year, the amount of the target bonus for such Year that is established for the Participant under the MIP.
Target Bonus Amount means the sum of (i) the target annual bonus set forth in writing and available to the Executive under the Company’s Annual Executive Bonus Plan or any successor plan, excluding any portion of such target annual bonus or any other award thereunder attributable to “over-achievement” performance goals (i.e., performance goals that require the achievement of goals that exceed or are in addition to the goals required for the Executive to receive the target annual bonus) approved by the Compensation Committee or the Board, and (ii) the target annual bonus set forth in writing and available to the Executive upon the satisfaction of any individual performance objectives approved by the Compensation Committee or the Board for the Executive as part of a “management-by-results” process (i.e., MBRs). For the avoidance of doubt, the parties acknowledge and agree that the Annual Executive Bonus Plan or any successor plan, and not this Agreement (except as otherwise provided in Section 6.3 hereof), shall govern the payment of any amounts previously earned under such plan that are payable on a delayed, multi-year basis following the performance period during which such amounts were earned.
Target Bonus Amount means, for a Participant in connection with a Triggering Event, an amount equal to the amount of the Bonus Pool for such Triggering Event multiplied by such Participant’s Participant Percentage.
Target Bonus Amount means a Participant’s target annual bonus under the Annual Bonus Program.
