For the year in which the Effective Date occurs, your annual bonus will be calculated based on the Target Bonus in effect prior to and after the Effective Date on a pro-rata basis.
If successfully earned, your Performance Bonus will be paid in the month of May following the end of the respective fiscal year, or as soon thereafter as may be reasonably practicable under the circumstances.
From and following the Resignation Date, any period during which the Executive continues to comply with his obligations under Paragraph (e) on an uninterrupted basis shall be treated as continuous employment for purposes of determining the extent to which the Executive is vested under any and all Other Incentive Bonus previously granted or awarded to the Executive.
